Announcement of Capital and Business Alliance Between WOWOW Inc. and NTT DOCOMO, Inc. Involving Establishment of a New Company and Joint Venture Formation via Absorption-Type Spin-Off of the Entertainment Video Content Distribution Service 'Lemino'

On June 15, 2026, our company resolved at a board of directors meeting to enter into a capital and business alliance (hereinafter referred to as the 'Alliance') with NTT DOCOMO, Inc. (hereinafter 'NTT DOCOMO') concerning the entertainment video content distribution service 'Lemino'. Under the Alliance, the new company established by our company (hereinafter 'New Company') will succeed to NTT DOCOMO's 'Lemino' business through an absorption-type corporate split (hereinafter 'the Split'), with the issuance of common shares of the New Company (hereinafter 'New Company Shares') as consideration. Subsequently, through the transfer of New Company Shares from NTT DOCOMO to our company (hereinafter 'Share Transfer'), our company will acquire 51% of the New Company Shares, establishing the New Company as a joint venture between our company and NTT DOCOMO. Additionally, our company will conduct a third-party allotment of new shares to NTT DOCOMO (hereinafter 'Third-Party Allotment'). Based on board resolutions held on June 15, 2026, both parties have entered into an agreement for the Third-Party Allotment, a joint venture agreement regarding the New Company, and a share transfer agreement (collectively referred to as the 'Final Agreements'). We hereby announce the details as follows.

On the same day, we have submitted the securities registration statement related to the Third-Party Allotment. This submission was made at the earliest practicable time due to NTT DOCOMO’s board resolution concluding after the EDINET (Electronic Disclosure for Investors' NETwork) system’s official filing window for submitting the securities registration statement under the Financial Instruments and Exchange Act. This announcement is being issued promptly following the filing.

Furthermore, as the corporate split involves a wholly-owned subsidiary of our company as the successor entity, certain disclosure items and contents have been partially omitted in accordance with applicable regulations.
