Regarding the Sale of Natural Gas Thermal Power Generation Business in Pennsylvania, USA

Tokyo Gas Co., Ltd. (President: Shinichi Sasayama, hereinafter "Tokyo Gas") has participated in the natural gas thermal power generation business in Pennsylvania, USA (hereinafter "this business") as part of its North American midstream and downstream business through Birdsboro Power Holdings Ⅱ, LLC (hereinafter "Birdsboro"), in which its wholly-owned subsidiary Tokyo Gas America Ltd. has invested. Tokyo Gas America Ltd. has now agreed to sell all of its equity interest in Birdsboro to Strategic PPAV, LLC, a fund managed by Strategic Value Partners, LLC (hereinafter "SVP"), which is also one of Birdsboro's investors, and has signed an equity transfer agreement. Going forward, various procedures, including permits and approvals in the United States, will be advanced for the sale.

Tokyo Gas is promoting the construction of a value chain through its North American midstream and downstream businesses. Moving forward, it will continue to promote capital recycling as stated in its 2026-2028 Mid-Term Management Plan, aiming for further improvement in growth and profitability, and sustainable enhancement of corporate value.
