1. Background of the Agreement SPRIX is a comprehensive education company founded in 1997 in Nagaoka, Niigata. With the mission of "Renewing lives through education," the company provides new stages (seasons) in the lives of individuals through businesses such as "Mori Juku," one of Japan's largest one-on-one tutoring schools. By fusing the know-how and technology cultivated across various businesses, the company aims to deliver "spring" to customers around the world and realize its vision of becoming "No. 1 in the world in education."
The core of its overseas basic academic proficiency business is the Test of Fundamental Academic Skills (TOFAS). By creating a "meter of education" in basic academic skills—a metric that previously lacked a global standard—children around the world can now understand their current standing and identify their next goals. With over 15 million cumulative test-takers across more than 50 countries, the program is deepening its collaboration with local government agencies in regions including the Middle East and North Africa (MENA), Southeast Asia, and Latin America.
Will Field Group is a Singapore-based family office established in 2021. It invests primarily in Japanese listed stocks, private equity, and startups. While providing hands-on support to its portfolio companies, it has built a network of domestic and international investors and entrepreneurs. As a shareholder, Will Field has long resonated with SPRIX’s educational philosophy and its mission to "bring a new season to the life of every student," and has held shares in the company for some time.
Both companies have confirmed that this long-term relationship of trust and Will Field's network are now at a stage where they can be specifically utilized for SPRIX's current needs, leading to the formal conclusion of this partnership agreement.
2. Purpose of the Agreement Under this agreement, Will Field will support the establishment of SPRIX's local revenue bases, primarily by identifying and introducing private-sector partners in various countries. Furthermore, both companies will collaborate to explore joint investment and business opportunities with education-related companies and startups in each country, seeking synergies with SPRIX's overseas expansion.
Through these cooperative efforts, both companies aim to establish a sustainable revenue base for SPRIX's overseas business and enhance its corporate value.
