Announcement Regarding the Launch of "New Spiber" and New Management Structure

We (hereinafter referred to as "New Spiber") have today commenced operations under a new management structure as "New Spiber," having acquired all businesses, with some exceptions (such as US operations), from Spiber Inc. (hereinafter referred to as "Old Spiber"), a bio-venture established in 2007 with its headquarters in Tsuruoka City, Yamagata Prefecture, which has been engaged in creating innovative solutions to contribute to sustainable well-being and the resolution of environmental issues.

Towards this launch, we received tremendous support from various stakeholders, including former shareholders and business partners, who shared the belief that innovative solutions for a sustainable future must not be allowed to cease. Furthermore, we have garnered empathy for the development of New Spiber and will continue to receive support, including the continuation of joint research and development. New Spiber will correctly inherit the highly integrated ecosystem of technological excellence, mass production infrastructure, and brand assets built by Old Spiber, and will develop it as a "public instrument of society" that supports the future of humanity.

1. Establishment of a New Management Structure and Separation of Roles

With the launch of New Spiber, we have established a new governance system that enhances management transparency and balances rapid decision-making with strict risk management.

Refreshment of Management and Governance

Maya Kawana, Representative Director and CEO, will assume full responsibility for business strategy and company-wide governance establishment, leading the early monetization of the business.

Continuation and Acceleration of Technology Development

Kazuhide Sekiyama and Junichi Sugahara, the founders of Old Spiber, will step down from the front lines of management and focus on "immediate resolution of technical challenges" and "optimization of the productization process," leveraging their unique technical insights to the fullest. This establishes a system that ensures the continuity of research and development while rapidly resolving technical bottlenecks for social implementation.

2. Comment from Maya Kawana, Representative Director and CEO

The structural protein technology that Spiber has accumulated to date is an extremely rare asset capable of solving global-scale issues. Believing in its value more than anyone, I will accelerate its social implementation with the following strategic policies.

Firstly, "Business design starting from market optimization." We will reconstruct the results of our unique research and development into an optimal product portfolio, reverse-engineered from market needs. With branding as our guiding principle throughout all processes, we will evolve into a business group that drives the growth of our client companies.

Secondly, "Pursuit of true well-being." In addition to our previous pursuit of "sustainability," we aim to provide added value that contributes to people's well-being through the provision of multifaceted value via products in areas such as lifestyle, beauty, food, and healthcare.

Thirdly, "Ensuring business continuity through economic independence." Sustainability without profit does not exist. We will establish a revenue base with thorough discipline and speed, and through appropriate profit generation, we will achieve both contributions to society and returns to our employees.

I have accepted this role to elevate the proud research and development achievements, which our on-site researchers and engineers have protected, into a de facto standard that the world will specifically seek out.

It is my intention to ensure that this flame of hope, born in Tsuruoka, is never extinguished, and to guide Spiber, a "great potential," to a complete form that the world can be proud of.
