Recochoku Co., Ltd. (Headquarters: Shibuya-ku, Tokyo; President and Representative Director: Toru Itabashi; hereinafter referred to as "Recochoku") resolved at its Board of Directors meeting held on March 24, 2026, to transfer the "Platform Business (Eggs Media, GIGGS)" and "Agent Business" of its subsidiary, Eggs Inc. (Headquarters: Shibuya-ku, Tokyo; Representative Director: Eitaro Shibasaki; hereinafter referred to as "Eggs"), to Tokyu Corporation (Headquarters: Shibuya-ku, Tokyo; President and Director: Masahiro Horie; hereinafter referred to as "Tokyu") as of March 31, 2026. We hereby announce this resolution.
Furthermore, as announced on February 26, 2026, in the "Announcement Regarding the Absorption Merger of Eggs Inc.", Recochoku will absorb and merge Eggs after the business transfer, effective April 1st. The "Distribution Business (Eggs Pass)" will be operated primarily by Recochoku.
Through this, we will accelerate the optimal allocation of our management resources and business efficiency, contributing to the sustainable development of the entire music industry and the creation of diverse value in indie culture.
Background for Deciding the Transferee
Under the vision of "Designing a new relationship between people and music," Recochoku, and "Creating as many encounters as possible for artists and fans," Eggs, have operated various businesses that multi-facetedly support the activities of indie artists.
Tokyu, on the other hand, has positioned music as an important category in its entertainment business and has promoted various projects to support the creative and expressive activities of indie artists.
In discussions with various potential acquirers, it was determined that Tokyu and Eggs share the philosophy of "contributing to the development of music culture through supporting indie artists." Furthermore, the "Platform Business" and "Agent Business" have a high degree of complementary relationship with the live performances, promotional activities, and fan interaction opportunities provided by Tokyu in real-world venues. Entrusting the business to Tokyu was judged to be the closest path to realizing Eggs' vision of "Creating as many encounters as possible for artists and fans," thus the decision was made to sell to Tokyu.
Additionally, from April 1st onwards, the "Platform Business (Eggs Media, GIGGS)" and "Agent Business" will be commissioned by Tokyu, and Recochoku will establish a new business unit where the current personnel will continue to operate the business.
