Pasona Japan General Affairs Department (Headquarters: Chuo-ku, Osaka; President: Katsuya Sano) will partner with ICJ, a provider of virtual shareholder meeting support services (VSM platform), to launch the "Virtual-Only Shareholder Meeting Support Service" on June 30, 2026 (Tue.). This service will support the introduction and operation of "virtual-only shareholder meetings" that are completed solely online without a physical venue.

This service will provide comprehensive support, from preparation assistance for regulatory compliance to building the distribution environment, day-of operations, and archive distribution, contributing to reduced burden and diversification of meeting methods for listed companies' shareholder meetings.

Traditionally, shareholder meetings were primarily held in person with shareholders attending a venue. However, triggered by the COVID-19 pandemic, hybrid formats combining online distribution have become widespread, broadening the methods for operating shareholder meetings. Furthermore, in recent years, with the diversification of shareholder residency and attributes, challenges such as the burden of venue arrangements and operational costs have emerged. "Virtual-only shareholder meetings," where shareholders attend online and can ask questions and exercise voting rights, are gaining attention as a new option.

Pasona Japan General Affairs Department has historically provided a wide range of BPO services supporting corporate activities, including operational support for in-person shareholder meetings and planning/operation of online and hybrid events utilizing its own studios.

Through this new service, by partnering with ICJ, which has extensive experience in virtual-only shareholder meetings, Pasona will provide comprehensive support from preparation for confirmation applications to the Minister of Economy, Trade and Industry and the Minister of Justice based on the "Shareholder Meeting Without a Fixed Location" special provision under the Industrial Competitiveness Enhancement Act, to building the distribution environment, day-of operations, and post-meeting archive distribution. This will allow listed companies to reduce the burden of complex preparations and coordination with various parties, creating an environment where they can focus more easily on the original objectives of shareholder meetings, such as explaining matters to shareholders and deliberating important proposals.

Through this service, Pasona Japan General Affairs Department aims to contribute to the sophistication and efficiency of corporate shareholder meeting operations by offering virtual-only meetings as an option in addition to in-person and hybrid formats. It will also support the improvement of shareholder convenience and the assurance of fair participation opportunities, thereby contributing to sustainable corporate management and the development of a sound capital market.

*Listed companies can stipulate in their articles of incorporation that shareholder meetings can be held as "Shareholder Meetings Without a Fixed Location" only if they have received confirmation from the Minister of Economy, Trade and Industry and the Minister of Justice. For listed companies with such provisions, virtual-only shareholder meetings are possible.
