Notice Regarding Transition to a Company with an Audit and Supervisory Committee

Open8 Inc. (Head Office: Chiyoda-ku, Tokyo; Representative Director, President and CEO: Takeyasu Takamatsu; hereinafter "Open8") transitioned to a Company with an Audit and Supervisory Committee at its Ordinary General Meeting of Shareholders held on March 30, 2026.

●Purpose of the Transition

Our company has positioned the enhancement and strengthening of its corporate governance system as a critical management issue and has continuously pursued initiatives in this regard. In an an increasingly complex business environment, to achieve sustainable improvement in corporate value, we are transitioning from a Company with a Board of Corporate Auditors to a Company with an Audit and Supervisory Committee. This transition aims to further enrich discussions on management strategies within the Board of Directors and to further strengthen the supervisory functions of the Board of Directors.
