Notice Regarding Misconduct and Dismissal of Directors of Subsidiary (STRIVE Inc.)

It has been discovered that STRIVE Inc. (hereinafter "STRIVE"), a wholly-owned subsidiary of GREE HOLDINGS, Inc. (Headquarters: Minato-ku, Tokyo; Representative Director, Chairman and President: Yoshikazu Tanaka; hereinafter "the Company"), has engaged in misconduct by its Representative Directors. Following an internal investigation and legal assessment by external legal counsel, significant compliance violations, including acts that may be subject to criminal liability, have been confirmed. 2. Reason for Dismissal Based on the circumstances described in Section 3 below, the Company has determined the following acts of misconduct and compliance violations:

(1) Fraudulent registration application with false content It was discovered that in January 2026, a change in registration was applied to the Legal Affairs Bureau stating that Yusuke Amano (hereinafter "Amano") and Tatsuo Tsutsumi (hereinafter "Tsutsumi") had retired as directors of STRIVE as of December 31, 2025. The Company believes that this registration application was made with a false resignation notice as an attached document. Following a legal assessment by external legal counsel, we have received an opinion that this registration application may constitute an attempted crime of falsification of original documents in a public document, etc. (Article 157, Paragraphs 1 and 3 of the Penal Code).
