Ureru Net Ad Company Group Inc. (Headquarters: Shinjuku-ku, Tokyo; Representative Director: Ruan Inose; hereinafter "JV-IT"), an offshore development company with a development structure of over 100 engineers in Vietnam. The partnership aims to strengthen the software development structure utilizing AI.

Through this alliance, the group aims to combine its AI development expertise with JV-IT's large-scale, high-quality development resources to improve development speed, capacity, and profitability across the entire group.

1. Background of the Alliance — Securing "Development Power" in the AI Era
Ureru Net Ad Company Group is actively promoting software development utilizing AI, primarily through its consolidated subsidiaries, Ureru AI Marketing Co., Ltd. and SOBA Project Co., Ltd.

At SOBA Project, an "AI-Driven Development Team" was launched in December 2025, fully implementing the latest AI technologies, including autonomous coding agents.
Furthermore, Ureru AI Marketing is accelerating the development and provision of AI-related products, starting with the "Ureru AI Series."

However, along with the evolution of AI technology, development projects within the group have surged, making "securing engineers who can master AI" a critical issue that will determine future growth.

3. Details of the Alliance
Through this alliance, the two companies will collaborate in the following areas:

■ Expansion of AI Development Resources
The development methodologies and knowledge established by SOBA Project's AI-Driven Development Team will be rolled out to JV-IT's development base in Vietnam, significantly expanding the resource pool of engineers capable of utilizing AI. This aims to increase the group's capacity to take on development projects multiply compared to the current structure.

■ Acceleration of Group Product Development
JV-IT's development team will be strategically utilized in the "Ureru AI Series" by Ureru AI Marketing, various SaaS products by SOBA Project, and new service developments across the group, accelerating the time-to-market for these products.

■ Strengthening of Contract Development Structure for Clients
By utilizing JV-IT's offshore resources in the system contract development and maintenance operations services provided by SOBA Project,
