GA technologies Co., Ltd. (Headquarters: Minato-ku, Tokyo; Representative Director, President and CEO: Ryo Higuchi; Securities Code: 3491; hereinafter "the Company") announced today that it has decided to acquire all outstanding shares of SPC Securities Inc. (Headquarters: Chuo-ku, Tokyo; hereinafter "SPC Securities"), a company engaged in the financial instruments business and investment advisory/agency business, from its parent company TPM Inc. (Headquarters: Chuo-ku, Tokyo), making it a wholly-owned subsidiary, and has concluded a share transfer agreement.

## Purpose and Background
The Company's group has been driving its business since its foundation in 2013 under the ambition of "Creating inspiration and excitement through Technology x Innovation to move the world forward." While the rise of the internet in the 1990s has advanced IT integration across various industries and enriched people's lives, the real estate industry, which accounts for a particularly large share of Japan's industries, currently lags behind others in IT adoption due to business customs, legal regulations, and structural characteristics. As a result, it faces numerous challenges such as "low productivity and analog operations," "information asymmetry," and "poor user experience." We aim to solve these issues using technology and bring innovation to the real estate industry.

In the RENOSY marketplace business, one of the Group's core businesses, under the brand vision of "Making wealth building through real estate a standard," we are making real estate investment more accessible through the power of AI and technology, offering a "secure, simple, and optimal real estate wealth-building service" under the AI real estate investment brand "RENOSY." Traditionally, real estate investment was perceived as something limited to the wealthy and experienced investors, involving complex procedures requiring specialized knowledge and cumbersome management burdens. In response to these industry challenges, the Company has utilized its proprietary technologies, including AI, and a digital platform to transform real estate investment into something "more accessible and highly reliable." As a result, we have achieved the No. 1 track record in sales and purchases in real estate investment. Building on this foundation, to further enhance service value, we have strived to improve customer satisfaction by expanding product lineups to increase offering opportunities for the cumulative 630,000 RENOSY members, as well as advancing into the US market.

On the other hand, SPC Securities, together with its subsidiary SPC Asset Management Inc. (Headquarters: Chuo-ku, Tokyo; hereinafter "SPCAM"; collectively with SPC Securities, the "SPC Group"), which conducts asset management business, holds financial licenses essential for the real estate fund business, such as the specified joint real estate venture, Type 1 and Type 2 Financial Instruments Business, investment advisory and agency business, and investment management business. The group has been involved in the structuring, sales, and management of private real estate funds for many years, possessing advanced financial practical know-how, a robust compliance structure, and an extensive track record in management entrustment, earning high trust from investors and financial institutions.

Under the social backdrop of the government's push "from savings to investment" and the growing demand for individuals to autonomously build assets, the need for asset building among individuals and corporations is reaching unprecedented heights. Among these, the market for small-lot real estate products and private funds, which can be easily started with smaller amounts compared to physical real estate investment, is expanding rapidly. However, expanding this business requires registration and permission under the Act on Specified Joint Real Estate Ventures and the Financial Instruments and Exchange Act, demanding highly specialized knowledge and the establishment of strict operational structures, making the barriers to entry quite high.

Through this alliance bringing the SPC Group into the Company's group, the Company believes it can speedily realize full-scale entry into the real estate securitization business, which would otherwise require significant time to independently acquire licenses and build structures. By integrating the Company's strong customer base and technological capabilities of the "RENOSY Marketplace" with the SPC Group's financial licenses and fund management know-how, we will provide customers with more diverse, high-value-added wealth-building options, while stabilizing and sustaining our revenue base through the accumulation of stable asset management fees (recurring revenue) based on Assets Under Management (AUM) in our group's business portfolio.
