Dai Nippon Printing Co., Ltd. (Headquarters: Tokyo; President and CEO: Yoshihito Kitashima; hereinafter: DNP) has signed a share transfer agreement on July 15, 2026, with Kyowa Hakko Bio Co., Ltd., the shareholder of Kyowa Pharmaceutical Chemical Co., Ltd. (Headquarters: Toyama Prefecture; President and CEO: Hayato Miyoshi; hereinafter: Kyowa Pharma), and its parent company Kirin Holdings Company, Limited, toward making Kyowa Pharma a subsidiary. DNP plans to acquire 100% of Kyowa Pharma's shares in October 2026 and make it a subsidiary (subject to completion of procedures stipulated by antitrust laws).
Following DNP's acquisition of Kyowa Pharma's shares, Kyowa Pharma is expected to change its company name to "DNP Pharmaceutical Chemical."
Background and Purpose of the Share Acquisition
In the pharmaceutical industry, demand is increasing for CDMOs (Contract Development and Manufacturing Organizations)—entities that handle end-to-end development and manufacturing from active pharmaceutical ingredients (APIs)*1 to finished drug formulations*2—driven by the need for stable drug supply and advanced drug discovery.
The DNP Group leverages precision organic synthesis technology developed from its printing expertise to expand its pharmaceutical API business and grow its Medical & Healthcare business, which supports drug discovery and manufacturing. Its subsidiary, DNP Fine Chemicals Utsunomiya Co., Ltd., manufactures generic drug APIs, while Sumika CMO Co., Ltd. handles pharmaceutical formulation development and manufacturing.
Kyowa Pharma possesses advanced organic synthesis technologies and manufacturing facilities, up-to-date management standards required by regulatory authorities, and skilled personnel and technical expertise. Focusing on organic synthesis, it manufactures APIs for innovative drugs such as tranexamic acid and prostaglandin derivatives.
Through this acquisition, DNP aims to integrate its R&D and development-manufacturing platforms for APIs, formulations, and packaging with Kyowa Pharma's advanced API development and manufacturing technologies, establishing a one-stop CDMO capable of handling processes from API to formulation and packaging. By enabling collaboration across all stages from early development, DNP will contribute to streamlining pharmaceutical companies' drug discovery processes, shortening development timelines, and strengthening stable supply systems.
