COUNTERWORKS Inc. (Head office: Shinagawa-ku, Tokyo; CEO: Naoki Sampei; hereinafter "COUNTERWORKS"), which aims to create new infrastructure by digitizing commercial real estate, announced the appointment of three new external auditors to further strengthen its governance system in line with business growth.
Background of Appointment
COUNTERWORKS provides "Shop Counter," a platform supporting pop-up store openings, and "Shop Counter Enterprise," a leasing DX support SaaS for commercial facilities. As collaborations with diverse businesses such as commercial facilities, brands, manufacturers, and sole proprietors expand, it has become even more crucial to enhance the soundness of decision-making, the effectiveness of internal controls, and continuously update a reliable operational system.
By expanding the auditor system, we will establish a foundation that can balance disciplined management with risk management while maintaining our growth speed. Simultaneously, by incorporating the specialized perspectives of each auditor in finance, legal affairs, system development, and accounting, we aim to strengthen our auditing functions to support transparent management decisions even in a highly volatile market environment.
Profiles of New Auditors
Auditor (Full-time) Toshihiro Nagai
After graduating from Doshisha University's Faculty of Engineering, he engaged in corporate sales and investment banking at Taiyo Kobe Bank (now Sumitomo Mitsui Banking Corporation). In 2008, he joined Konaka Co., Ltd., where he was involved in group management, accounting, and financial operations. In 2019, following Konaka's acquisition of Samantha Thavasa Japan Limited as a subsidiary, he oversaw all administrative divisions as a Director and Head of Administration at the company. He has experience in establishing and operating management systems, including internal controls, through practical experience in administrative areas. In June 2022, he was appointed full-time auditor at 400F Co., Ltd.
Auditor Ko Ishikawa
Graduated from Tokyo University of Science and completed his studies at the University of Tokyo School of Law. After working as an IT consultant at Accenture (formerly Andersen Consulting), he registered as a lawyer. He served as CFO and Director at All About and BrainPad, also involved in AI-related businesses. Currently, he promotes cybersecurity businesses as COO of CyLeague HD, President of ID Route Consulting, and Senior Executive Officer of Change HD.
Auditor Chieko Nishiura
Born in 1984. Graduated from Hitotsubashi University, Faculty of Commerce, Department of Business Administration, and is a certified public accountant. In 2006, she joined ShinNihon LLC. She was involved in accounting audits of listed companies, foreign-affiliated companies, and financial institutions, as well as internal control advisory services. In 2014, she established Nishiura Certified Public Accountant Office. In June 2016, she joined S&N Partners Law and Accounting Office. After serving as a full-time auditor at JapanTaxi Co., Ltd. (now GO Co., Ltd.), she was appointed external auditor at Takumino Holdings Co., Ltd. and external auditor at NSD Co., Ltd. She also serves as an external director (full-time audit and supervisory committee member) at Tsukuruba Co., Ltd.

About Shop Counter
"Shop Counter" is an online platform for booking spaces for pop-up stores, events, and exhibitions. It allows searching and booking various commercial spaces such as shopping centers, supermarkets, department stores, shopping streets, station concourses, office buildings, photo studios, and exhibition venues. As of the end of March 2026, approximately 87,000 tenants have used the service, covering a wide range of industries including apparel, miscellaneous goods, food, and lifestyle services.

About Shop Counter Enterprise
This is a leasing DX system for commercial facilities. It provides a SaaS-type "tenant recruitment site" where commercial facilities can list their spaces, and a "sales management system" for managing inquiries, sales, tenant information, and space utilization. By continuously adding functions and upgrading versions, it supports the efficiency and productivity improvement of tenant recruitment and management operations. Currently, it has been introduced in over 1,500 commercial facilities.
