Announcement of the Introduction of a New Shareholder Benefits Program

WingArc1st Co., Ltd. (Headquarters: Minato-ku, Tokyo; Representative Director, President and CEO: Jun Tanaka; hereinafter "the Company") announces that it has resolved at today's Board of Directors meeting to introduce a shareholder benefits program as detailed below.

1. Purpose of Introducing the Shareholder Benefits Program

The Company will introduce a shareholder benefits program to express gratitude for the ongoing support from shareholders, further enhance shareholder returns, and increase the appeal of the Company's shares. By encouraging more individuals to hold the Company's stock, we aim to expand our investor base, improve stock liquidity, and build a stable shareholder foundation.

The costs associated with the new shareholder benefits program are fully absorbable through operational efficiency improvements, and therefore, there will be no revision to the Company's earnings forecast.

2. Overview of the Shareholder Benefits Program

(1) Eligible Shareholders

Shareholders who hold 100 or more shares (one trading unit) and are recorded in the Company's shareholder register as of the end of February and August each year will be eligible.

(2) Program Details and Timing of Distribution

Points will be awarded based on the number of shares held by eligible shareholders.

3. How to Use the Shareholder Benefits Program and Detailed Contents

(1) Award and Details of Shareholder Benefit Points

Based on the [Shareholder Benefit Points Table], points will be awarded according to the number of shares held. Eligible shareholders can redeem these points on the exclusive website "WingArc Premium Yutai Club" for a wide selection of premium products, including domestically produced rice, branded beef, sweets, beverages, premium sake, home appliances, experience gifts, electronic money such as PayPay Money Lite and Amazon Gift Cards, and over 5,000 other items. Points can also be exchanged for WILLsCoin, a common shareholder benefit coin that can be combined with points from other companies participating in the Premium Yutai Club program.

【Start Date】

The shareholder benefits program will commence for shareholders holding 100 or more shares and recorded in the Company's shareholder register as of the end of August 2026. Thereafter, eligibility will be determined twice annually, as of the end of February and August.

【Carryover Conditions】

Points can be carried over up to three times, provided the shareholder is continuously recorded under the same shareholder number and holds 100 or more shares in the register as of the end of August and February each year after August 2026. If shares are sold, or if the shareholder number changes due to name transfers to third parties or inheritance before the record dates at the end of August or February, the points will expire and cannot be carried over. Please take note.

(1) Application Method and Guidance

Eligible shareholders will receive a guide titled "Guide to the WingArc Premium Yutai Club," which includes information on redeemable items and registration for the exclusive website. By registering on the website as instructed, shareholders can receive benefits corresponding to their points. Shareholders who find it difficult to register online may apply by phone.

(2) Other Information

The exclusive website "WingArc Premium Yutai Club," for Company shareholders only, is scheduled to launch around October 2026. (https://wingarc.premium-yutaiclub.jp/)

Any changes to the shareholder benefits program will be promptly disclosed and announced.
