(Central News Agency reporter Chiang Ming-yen, Taipei, 8th) PCB manufacturer Elitegroup Computer Systems (ECS) plans to acquire its approximately 27% held subsidiary Taiwan Elitegroup (TEG) through a share swap, increasing ECS's stake in TEG to 100%. ECS stated that it will combine TEG's foundation in the new energy vehicle supply chain to expand its automotive customer base and optimize its automotive product portfolio, thereby strengthening its global automotive market layout.

ECS's board of directors resolved on the 7th to approve the share swap with Taiwan Elitegroup. ECS plans to issue new shares to conduct a share swap with Taiwan Elitegroup's other shareholders, excluding ECS. The share swap ratio will be 0.342 common shares of ECS for every 1 common share of Taiwan Elitegroup. After the share swap is completed, Taiwan Elitegroup will become a 100% owned subsidiary of ECS.

Taiwan Elitegroup is expected to convene its annual general meeting on June 18 to discuss this proposal. After the resolution is passed by the shareholders' meeting and approvals are obtained from relevant authorities, Taiwan Elitegroup will apply to terminate its listing and public issuance in accordance with relevant regulations. The tentative record date for the share swap is October 1.

Elitegroup Computer Systems currently holds a 27.44% stake in PCBA manufacturer Taiwan Elitegroup. Both companies share the same chairman, Jiao You-heng. ECS's stock price fell in early trading today, while TEG's stock price surged by 3% at one point before turning negative.

ECS is a manufacturer in the PCB and EMS fields. Its PCB products mainly cover applications such as PC/NB, servers and networking, consumer electronics, and automotive electronics. It is actively moving into high-end product areas such as High-Layer Count (HLC) Accelerators for server and networking applications, and semiconductor fixtures.

Taiwan Elitegroup is an electronic manufacturing service provider, primarily engaged in Printed Circuit Board Assembly (PCBA) and processing services, including SMT (Surface Mount Technology), PTH (Plated Through Hole), process inspection and testing, and assembly operations. Its product application areas include automotive electronics (including BMS, MCU, ADAS), industrial control, defense aerospace, consumer electronics, medical devices, and network communication, with automotive products accounting for nearly 90%.
