(Headquarters: Minato-ku, Tokyo; Representative Director, President & CFO: Yosuke Shibata; Securities Code: 6191; hereinafter "the Company"), which operates a total of 22 businesses including Airtrip travel business, IT offshore development business, inbound travel business/Wi-Fi rental business, media business, investment business (Airtrip CVC), regional revitalization business, cloud business, matching platform/digital marketing business, CXO community business, HR consulting business, airline general agency business, car rental business, overseas tour business, enterprise DX development business, beauty FC business, corporate DX promotion business/healthcare business (subsequent businesses are focused on by investees), human resources solutions business, creative solutions & DX business, AI robot business, golf life support business, foreign currency automatic exchange machine business, and traditional townhouse accommodation/Japanese cultural experience business, announces that its wholly-owned subsidiary, Travel.jp Co., Ltd. (planned), has decided to acquire the business of "Travel.jp," one of Japan's largest travel information sites, from Venture Republic Inc. We also announce the simultaneous abolition of our 18th business, the "Creative Solutions & DX Business."

Following this, the "Portal Site Business" will be launched as the 22nd business* in the "Airtrip Economic Zone" business portfolio strategy that the Company is building and promoting.

About "Travel.jp"

Since its establishment in 2001, "Travel.jp" has focused on online travel business with the mission of always aiming for the best answers to all user questions, such as where to go, how to get there, how much it costs, and what can be done there. "Travel.jp" is a comprehensive travel information media specializing in domestic and international travel information, allowing users to search and compare cheap flights and domestic/international package tours, as well as cross-search domestic and international hotels and inns. In addition, the "Travel.jp Travel Guide," taught by travel experts, features experts (navigators) who are knowledgeable about various local sightseeing, regions, cultures, and activities, discovering and disseminating new attractions at travel destinations.

Purpose of this matter

"Travel.jp" will serve as the core of the Company Group's 22nd* new business, the "Portal Site Business," aiming for further business growth through the creation of synergies with the Airtrip Group's travel business know-how and network.

*Although this marks the start of the 23rd new business, it is stated as the "22nd business" due to the simultaneous abolition of the 18th business, the "Creative Solutions & DX Business."

Future Outlook

The Company Group aims to expand and strengthen its business by creating synergies with each business, including the Airtrip travel business, leveraging its customer base including Airtrip members, "Airtrip" brand recognition, Airtrip Group's various business assets, and human capital.
