### Passing Fukuoka's Culinary Culture "Yamanaka" to the Next Generation
Regarding the Succession of the Miso Motsunabe Originator Brand

OSAM Co., Ltd. ("OSAM"), a group company of Ohsako Holdings Co., Ltd. ("OHD"), is pleased to announce that it has acquired all shares of Yamanaka Co., Ltd. ("Yamanaka") from an investment limited partnership managed by Fukuoka Capital Partners Co., Ltd. ("FCP"), thereby succeeding to its business.

Yamanaka, founded in 1984 in Ohashi, Minami-ku, Fukuoka City, is one of Fukuoka's leading dining brands, widely known as the originator of miso-flavored motsunabe (beef offal hot pot). Its long-standing taste and spirit of hospitality continue to be supported by many customers. This acquisition aims to take over the journey supported by FCP and connect the brand value and business foundation to the next stage.

### Background and Objectives of the Succession
The OHD Group's core investment policy is to maintain and develop the value of regional companies and brands over the medium to long term through succession. Considering the unique brand power and cultural value of Yamanaka, we determined that this acquisition perfectly aligns with our policy. This business succession ensures that the "taste" and "spirit of hospitality" built by the founder are reliably passed on to the next generation, with the goal of continuing to protect that value as local capital rooted in the region.

### Future Policy
Regarding future operations, we will continue based on the existing management system and store operations under Representative Director Masahiko Ono. No short-term policy changes are planned, and we will prioritize site stability and quality maintenance. In this matter, we will first cherish the business foundation cultivated thus far and prioritize stable business succession without forced expansion. On the other hand, in the future, we will provide full support to deliver the charm of Yamanaka to even more customers.
