Frixthru Inc. (Headquarters: Saitama Prefecture; Representative Director: Takeshi Yamamoto; hereinafter "the Company") has agreed to acquire the horse racing-related media, publishing, and web content business (hereinafter "the Target Business") from Oizumi Amuzio Co., Ltd. (Headquarters: Tokyo; Representative Director: Satoshi Fukushima). This includes the long-standing comprehensive horse racing website 'Keibado Online' launched in 1997, 'Timefilter Online' operated by renowned horse racing commentator Hiroshi Ichimaru, and 'Keiba Yosou GP,' a leading horse racing prediction site with over 20 years of history. The transfer is scheduled to take effect on July 1, 2026.

Through this acquisition, the Company will inherit the robust operational foundation of these existing services while maintaining and strengthening its alliance with Keibabook Co., Ltd., a leading player in the industry, to ensure a smooth transition and stable operation under the new management structure.

Background and Purpose of the Acquisition

The Target Business has enjoyed immense trust from dedicated horse racing fans and industry professionals for over a quarter of a century since the early days of Japan's digital horse racing content. In particular, core platforms such as 'Keibado Online' (https://www.keibado.ne.jp/) and 'Timefilter Online' (https://www.timefilter.com/) have established high-quality data services and a stable business model through collaboration and partnership with Keibabook Co., Ltd.

Additionally, 'Keiba Yosou GP' (http://www.keiba-gp.com/), a key pillar of the business, hosts renowned handicappers such as Masahiro Imai, known for the 'M no Housoku' (M's Law), and the controversial figure Manji, who gained fame through betting lawsuits. The site is popular for its spot-payment model—users pay per menu (per race or prediction) without monthly or annual subscription fees. It also covers regional racing, offering services such as 'Bajitachi Yosou' for the South Kanto region and the regional version of the 'Chihou Manji Index.'

This acquisition is made possible through the deep industry insights and trusted relationships cultivated by the Company's representative, Takeshi Yamamoto. Frixthru will now take over the operation of these major services, combining their long-standing brand reputation and proven track record with Frixthru's agile digital and system strategy to maximize value for existing users and drive future business growth.

Future Vision and Strategic Initiatives

Building on the inherited operational assets, the Company will advance the following key projects:

1. Continuous Optimization of the Cutting-Edge Training Analysis Tool 'Toreyomi' and Early Achievement of 500 Subscribers

The Company will rigorously pursue Continuous Optimization (ongoing system and UI improvements) of 'Toreyomi' (https://kol-bi.jp/), its proprietary training analysis tool launched on March 31, 2026, with a user-first approach. The current 'Pro Version' is priced at ¥4,980 per month and serves as a subscription-based digital product. The Company will accelerate marketing efforts to achieve its goal of acquiring 500 core subscribers in the early stages.

2. Continuation of Publishing Projects, Including the Pedigree Analysis Book 'Perfect Stud Sire Dictionary' (Scheduled for March 2027)

The Company will ensure the next-generation continuation of the long-running annual publication 'Perfect Stud Sire Dictionary' (published by Jiyu Kokumin Sha), a definitive guide for pedigree analysis and betting strategy that has received strong annual support. By integrating accumulated data with the latest trends, the Company will deliver a trusted annual publication to horse racing fans nationwide while maintaining a solid revenue foundation.

Comment from Representative Director Takeshi Yamamoto

'It is a great honor and a deeply humbling opportunity for Frixthru to inherit these monumental businesses—'Keibado Online' (established in 1997), 'Timefilter Online' by Mr. Hiroshi Ichimaru, and 'Keiba Yosou GP' with over 20 years of history—that represent the very history of Japanese horse racing media, along with their robust operational infrastructure. We will further develop our alliance with Keibabook Co., Ltd., which has long supported high-quality content, and ensure the continued publication of the traditional annual 'Perfect Stud Sire Dictionary.' We will also elevate 'Keiba Yosou GP,' in collaboration with experts like Mr. Masahiro Imai and Manji, into a next-generation platform aligned with modern needs. At the same time, we will continuously evolve our digital tools, including 'Toreyomi,' which we launched this year. Through this dual approach, we aim to pioneer new convenience and value in the horse racing media landscape.'
