WOWOW Inc. (President and CEO: Hitoshi Yamamoto, Head Office: Minato-ku, Tokyo; hereinafter WOWOW) and NTT DOCOMO, Inc. (President and CEO: Yoshiaki Maeda, Head Office: Chiyoda-ku, Tokyo; hereinafter docomo) have concluded a capital and business alliance agreement (hereinafter the 'Alliance') on Monday, June 15, 2026, aimed at developing and expanding docomo's entertainment video content distribution service, 'Lemino' (hereinafter 'Lemino'). Through this Alliance, WOWOW's content production and creation capabilities will be combined with docomo's extensive subscriber base and assets to evolve 'Lemino' into a more attractive video streaming service.
1. Background and Purpose of the Alliance
For many years, WOWOW has built strong relationships with various artists, creators, and athletes, and has produced and distributed a wide range of content, including original dramas, music concerts, sports, movies, and international TV series.
docomo has been operating 'Lemino' since April 2023, offering a diverse lineup of popular movies and dramas, exclusive original content, Korean wave titles, sports, and music concerts, under the concept of 'connecting through emotion'.
Since November 2025, WOWOW and docomo have engaged in business collaborations such as joint procurement, co-production, and mutual content sharing to expand their video businesses and maximize customer value—particularly in enhancing music concert content, producing blockbuster original dramas, and enriching popular sports content. With this capital and business alliance, the two companies will further deepen their relationship and combine their strengths to significantly evolve 'Lemino' and enhance service value for customers.
2. Overview of the Alliance
Under this Alliance, the following initiatives will be implemented to advance 'Lemino':
(1) Significant Expansion of Content Lineup
The companies aim to exceed customer expectations by strengthening music concert content, producing major original dramas, and enriching popular sports content.
(2) Digital × Real Entertainment Experiences
By leveraging docomo's venues and diverse assets, the companies aim to deliver new entertainment experiences that transcend traditional video streaming, integrating digital and real-world elements.
(3) Broader Customer Reach
By utilizing both companies' customer bases and distribution channels, they aim to deliver the appeal of 'Lemino' to more customers than ever before.
(4) Creation of Globally Viable IPs
Through collaborative growth with artists, creators, athletes, and content holders, the companies aim to create intellectual properties (IPs) capable of global expansion.
WOWOW and docomo will continue to provide high-quality services to an increasing number of customers.
3. Implementation Process of the Alliance
As part of the Alliance, WOWOW will establish a new company (hereinafter 'New Company'). docomo's current 'Lemino' business will be transferred to the New Company via an absorption-type corporate split, with the New Company's common shares (hereinafter 'New Company Shares') issued as consideration. Following this, WOWOW will acquire 51% of the New Company Shares, making the New Company a joint venture between WOWOW and docomo. Additionally, as part of the Alliance, WOWOW will conduct a third-party allocation of new shares to docomo (hereinafter 'Third-Party Allocation'). The joint venture will be operated with WOWOW holding 51% and docomo holding 49% of the shares, establishing a robust partnership through mutual capital relationships. Funds raised through this Alliance will be allocated to content expansion and subscriber acquisition marketing for 'Lemino' to strengthen the service's competitiveness.
