Fan Communications Inc. to Acquire All Shares of viviane Inc.

viviane Inc. (Head Office: Shibuya-ku, Tokyo; Representative Director: Daiki Tanabe) announced today that it will become a group company of Fan Communications Inc. (Head Office: Shibuya-ku, Tokyo; Representative Director and President: Koji Ninomiya; Tokyo Stock Exchange Prime Market: 2461; hereinafter "Fan Communications") through the acquisition of 100% of viviane Inc.'s shares by Fan Communications, effective July 1, 2026.

Moving forward, we aim for further growth in integration with Fan Communications.

Background of Group Participation

To date, viviane Inc. has planned and developed numerous products in-house, including our core entertainment media "ciatr", the cross-search engine for video distribution services "One Screen", and the glamping reservation service "One Glamping".

Since transferring the business of "ciatr" in September 2024, we have focused on planning and developing products utilizing generative AI, such as the AI article production agent "AI Editor-in-Chief", in anticipation of a society significantly transformed by generative AI.

We are confident that by combining our in-house product development capabilities and knowledge of generative AI, cultivated through these efforts, with the business foundation and assets that Fan Communications has built over many years, we can create unprecedented value for the next era where AI becomes the premise for all industries. This conviction led us to decide on joining the group.
