TERRA Inc. (Headquarters: Sosa City, Chiba Prefecture; Representative Director: Mitsuhiro Higashi; hereinafter "TERRA"), TRE Holdings Corporation (Headquarters: Chiyoda-ku, Tokyo; Representative Director: Mitsuo Abe; hereinafter "TRE"), and our consolidated subsidiary TAKEEI CORPORATION (Headquarters: Minato-ku, Tokyo; Representative Director: Mitsuo Abe; hereinafter "TAKEEI") announce that we have signed a business alliance agreement as of April 22 to promote businesses that contribute to agricultural promotion and regional revitalization through mutual cooperation, as detailed below.

1. Overview

In recent years, solar sharing (agrivoltaics), a power generation method utilizing farmland, has been attracting attention as an initiative contributing to the improvement of regional sustainability in the fields of renewable energy, environment, and recycling. Solar sharing is a Japan-originated initiative where solar power generation facilities are installed in the upper space of farmland under temporary conversion permission, utilizing the sunlight for power generation while continuing agriculture. Its importance in regional implementation is increasing.

Against this background, TERRA, which promotes solar sharing technology, and TRE and TAKEEI, which are responsible for waste management, resource recycling, and renewable energy businesses, have signed a business alliance agreement. By bringing together their respective technical and business foundations and collaborating with local governments and communities, they aim to construct and socially implement models of regional GX (Green Transformation)*1 and WX (Waste Transformation)*2, which circulates all resources, simultaneously achieving sustainable agricultural development, resolution of regional issues, resource circulation, and decarbonization.

By complementing and expanding each company's functions, business domains, and business areas, and promoting the construction of new business models, we will contribute to the realization of an "advanced circular society" and a "decarbonized society."

*1 Green Transformation (GX):
An initiative to shift the social structure from one dependent on fossil fuels such as oil and coal to one centered on clean energy such as renewable energy.

*2 Waste Transformation (WX):
An initiative to overcome technical and profitability challenges in waste management and convert waste and used products, which were previously difficult to recycle, into resources and energy. It aims to realize an advanced circular society and a decarbonized society through "co-creation" that transcends the boundaries of arterial and venous industries.

2. Collaboration Items

(1) Planning and business development of renewable energy businesses including solar sharing (agrivoltaics)
(2) Business consideration in recycling and environment-related fields and construction of regional GX and WX models
(3) Implementation of technology development, demonstration projects, and research related to the above, and consideration of optimal business schemes and implementation structures

3. Future Outlook

The impact of this business alliance on our financial results is minor, but we believe that we can further accelerate the realization of an advanced circular society through future demonstrations and commercialization. If any matters that should be disclosed arise in the future, we will promptly announce them.

About TERRA:
Established in 2021, TERRA Inc. is a company that creates technologies and services aiming to realize an "ideal lifestyle in harmony with the global environment." Focusing on the system development of agrivoltaics utilizing film-type perovskite solar cells, which are expected to be the next-generation solar cells, the company leads the social implementation of the latest technologies by promoting demonstration experiments and acquiring patents domestically and internationally. In recent years, it has taken on the challenge of arid land greening projects utilizing solar sharing in the Middle East and Africa, going beyond the regeneration of abandoned farmland in Japan, contributing to solving global environmental issues with an innovative approach.

About TRE Holdings:
Develops environmental businesses such as waste management/recycling, resource recycling, and renewable energy. In its 2nd Medium-Term Management Plan (FY2024-FY2028), it sets the long-term vision of "Challenge to become a WX Environmental Company" and promotes "WX (Waste Transformation)," which overcomes technical and profitability challenges in waste management to convert waste and used products, which were previously difficult to recycle, into resources and energy. Through this initiative, it is taking on the challenge of contributing to the circular economy by realizing an advanced circular society and a decarbonized society, creating "co-creation" that transcends the boundaries of arterial and venous industries.

About TAKEEI:
A core subsidiary of TRE and a leading company engaged in recycling industrial waste generated in the Tokyo metropolitan area since its founding in 1967. In recent years, it has also focused on renewable energy businesses centered on woody biomass power generation, which mainly uses forest thinning materials as fuel. It aims to deepen collaboration with regions and partner companies beyond administrative and industry boundaries, taking on the challenge of new resource circulation.
