Completion of Offering and Issuance of Real Estate Security Token for Toyoko Inn Nagoya Meieki Minami

Toyoko Inn Co., Ltd. (President and Representative Executive Officer: Maiko Kuroda, hereinafter "Toyoko Inn"), Mitsui & Co. Digital Asset Management Ltd. (President and Representative Director: Takashi Ueno, hereinafter "MDM"), and Mitsubishi UFJ Trust and Banking Corporation (President: Hiroshi Kubota, hereinafter "Mitsubishi UFJ Trust Bank") have collaborated on the public offering and have now completed the offering and issuance of real estate security tokens (hereinafter "this Project") utilizing a trust scheme for the issuance of beneficial certificates, backed by the hotel "Toyoko Inn Nagoya Meieki Minami" (hereinafter "Target Real Estate") operated by Toyoko Inn. This project was realized through repeated discussions among the three companies on effective marketing, aiming to achieve new fundraising utilizing the Target Real Estate and to expand the fan base of Toyoko Inn through the issuance of security tokens.

1. Overview of this Project

This Project is a real estate security token that digitizes the beneficial rights of a trust for the issuance of beneficial certificates, with the trust property being the real estate trust beneficial rights related to the Target Real Estate.

In its structuring and operation, MDM is responsible for the overall scheme design and product structuring, while Mitsubishi UFJ Trust Bank, as the trustee of the trust for the issuance of beneficial certificates, manages the trust property and issues the beneficial rights.

Toyoko Inn, the operator of the Target Real Estate, plans to continuously provide accommodation benefits*1 usable at Toyoko Inn locations nationwide to investors in this Project. Investors will have the opportunity to directly experience Toyoko Inn's services and brand in addition to the value as a financial product, creating a design where investment and user experience are mutually linked.

This Project also serves as a marketing initiative for Toyoko Inn to create new customer touchpoints. It aims to create new touchpoints with investors, build customer relationships throughout the operation period, and increase awareness among new customer segments.

*1 Accommodation benefits are planned to be provided based on the agreement and conditions among the relevant parties, and their content and conditions may change or their provision may be suspended in the future. 2. Initiatives by Each Company

■ Toyoko Inn

Since its founding in 1986, Toyoko Inn has developed business hotels with the concept of "Cleanliness, Security, and Value" and has expanded its network across Japan. Currently, it has established a hotel network spanning all 47 prefectures and provides accommodation services that can be used with peace of mind anywhere in the country through standardized facilities and quality managed directly by the company. In 2026, the company will celebrate its 40th anniversary, and will continue to provide accommodation services that support customers' travel and activities as base hotels within its nationwide network.

■ Mitsui & Co. Digital Asset Management (MDM)

MDM provides end-to-end services for the structuring, operation, and sales of digital security funds backed by real assets such as real estate and infrastructure. With the largest track record in the domestic digital security (ST) market, having issued a cumulative total of 22 cases*3, MDM has supported fundraising for issuers across diverse asset classes including residences, hotels, and logistics facilities.

Building an ecosystem with highly reliable partners, including collaborations with Mitsubishi UFJ Trust Bank, is one of its strengths. This initiative with Toyoko Inn marks the 17th issuance through "ALTERNA"*4, an alternative investment service for individual investors.
