Completion of Public Offering and Issuance of Real Estate Security Tokens

Toyoko Inn Co., Ltd. (President and Executive Officer: Maiko Kuroda, hereinafter "Toyoko Inn"), Mitsui & Co. Digital Asset Management Ltd. (President and CEO: Takashi Ueno, hereinafter "MDM"), and Mitsubishi UFJ Trust and Banking Corporation (President and CEO: Hiroshi Kubota, hereinafter "Mitsubishi UFJ Trust and Banking") have collaborated on the public offering of real estate security tokens (hereinafter "this project") utilizing a beneficiary certificate issuing trust scheme backed by the hotel "Toyoko Inn Nagoya Meieki Minami" (hereinafter "investment target real estate") operated by Toyoko Inn, and have now completed the offering and issuance. This project was realized through repeated discussions among the three companies on effective marketing, aiming to achieve new fundraising utilizing the investment target real estate and expand Toyoko Inn fans through the issuance of security tokens.

1. Overview of this Project

This project is a real estate security token that digitizes the beneficiary rights by forming a beneficiary certificate issuing trust with real estate trust beneficiary rights related to the investment target real estate as trust assets.

In its formation and operation, MDM is responsible for the overall scheme design and product composition, and Mitsubishi UFJ Trust and Banking, as the trustee of the beneficiary certificate issuing trust, manages the trust assets and issues the beneficiary rights.

Toyoko Inn, the operator of the investment target real estate, plans to continuously provide accommodation benefits*1, usable at Toyoko Inn hotels nationwide, to investors in this project. Investors can have the opportunity to directly experience Toyoko Inn's services and brand, in addition to the value as a financial product, designing an interconnected investment and usage experience.

This project also has significance as a marketing measure for Toyoko Inn to create new customer touchpoints. It aims to create new points of contact with investors, build customer relationships throughout the operation period, and raise awareness among new customer segments.

*1 Accommodation benefits are planned to be implemented based on agreements and various conditions among the related parties, and their content or conditions may change, or their implementation may be suspended in the future. Please note that accommodation benefits do not constitute the content of the beneficiary rights and are granted at the discretion of Toyoko Inn, the operator of the investment target real estate. Furthermore, additional conditions set by Toyoko Inn may apply when using the accommodation benefits.
