[Trailhead] Announcement of Completion of Procedures for Full Acquisition of "Taberu Co., Ltd.", a Company Developing High-Value-Added Bento Boxes for the Prepared Meal Market and Health-Conscious Consumers

Trailhead Global Holdings, Inc. (Headquarters: Shibuya-ku, Tokyo; President and CEO: Jukou Takada; TSE Standard Securities Code: 3358; hereinafter referred to as "the Company") announces that, as of today, July 1, 2026, all share transfer execution (full acquisition) procedures have been completed for the acquisition of all shares of Taberu Co., Ltd. (Headquarters: Nerima-ku, Tokyo; Representative Director: Junya Kinoshita; hereinafter referred to as "Taberu"), a company engaged in the health-conscious bento and delivery business. This acquisition was resolved at a Board of Directors meeting held on June 12, 2026.

Background and Objectives of this M&A

The Company is strongly promoting the expansion of its domestic brand portfolio and the development of business formats that cater to the demand for prepared meals, as key growth strategies in its "Medium-Term Management Plan 2026-2030" announced on February 27, 2026.

Taberu, whose formal integration into the Group is completed today, operates the health-conscious brand "Sandai-me GenKURO," which uses its signature "Nekase Genmai" (aged brown rice). This specialty brown rice is made by blending ancient rice (black rice), pressure-cooked, and then aged for 24 hours. The brand has garnered strong support, particularly from professional production sites such as TV program and commercial filming locations, and corporate offices. It is a unique brand with high reliability and recognition, having won both the Gold Award and the Event/Live Industry Award at the "3rd Japan Location Bento Awards."

Going forward, the Company will apply Taberu's expertise in the manufacturing and sales of bento boxes and takeout items to its existing dining brands (ramen, yakiniku, French cuisine, etc.) within the Group, and will promote the "bento-ification" of existing brands and the development of attractive takeout products across the entire company.

Furthermore, by constructing an OMO (Online-Merges-Offline) delivery experience that integrates online and physical stores, the Company aims to create multifaceted revenue opportunities independent of in-store dining, thereby pursuing sustainable growth and enhanced corporate value for the entire Group.
