Protostar Inc. (Headquarters: Chuo-ku, Tokyo; Representative Director: Hidemaro Maekawa), whose mission is to support challengers, has released a practical "Startup M&A Implementation Guide (over 70 pages in total)." This guide systematizes the knowledge accumulated through the company's year-and-a-half-long startup M&A support program, "STARTUP M&A Circulation."
Background: The Current State of Startup M&A The Japanese startup environment is at a major turning point. Since 2021, there has been a series of large-scale M&A deals in Japan worth tens to hundreds of billions of yen. With the government's "Five-Year Startup Development Plan" also highlighting the revitalization of M&A as a priority, the shift from an "IPO-only" mindset to "M&A as an exit and growth strategy" is accelerating.
However, while market expectations are rising, a deep divide remains in practical operations. The M&A process is extremely complex, and because specific business practices and know-how are often "black-boxed," many executives feel anxious due to a lack of information for decision-making.
Our company has released this guide to remove the barrier of "information asymmetry" and create an environment where challengers can take their next step with the right knowledge.
Contents of the Guide (Excerpt) This guide goes beyond mere theory, focusing on the "first steps" based on real-world practice. - The overall landscape and latest trends in startup M&A - How to resolve the "information asymmetry" faced by both sellers and buyers - Practical workflows that visualize complex processes - Checklists to overcome the "lack of transparency" that hinders decision-making

Rui Ikeda General Manager, Startup M&A Division
Over the year and a half since October 2024, while promoting the M&A support program "STARTUP M&A Circulation," I have held numerous discussions with many sellers, buyers, and experts.
What I keenly felt was the reality that information asymmetry and the lack of transparency in processes are preventing executives from making proactive decisions. Now that the movement to support M&A across Japan is strengthening, a "roadmap" is essential for executives to have the right knowledge and take steps forward with confidence.
As someone who knows the depth of the practical work involved, I have, with great humility, compiled these words based on my daily experiences in the field. I hope this book will serve as a catalyst to encourage as many executives as possible.
