Sumasapo Co., Ltd. (Headquarters: Chuo-ku, Tokyo; Representative Director and CEO: Shinzo Oda; Securities Code: 9342; hereinafter "the Company") announces that it has concluded a business transfer agreement on March 19, 2026, to acquire the municipal solution business operated by T&C Technologies Co., Ltd. (Headquarters: Naha City, Okinawa Prefecture; Representative Director: Yasuyuki Miyake; hereinafter "T&C").

By combining the foundation of "totono," the resident application cultivated by the Company in the real estate management domain, with the municipal solution technology developed by T&C for local governments, we will further enhance the added value of our services, expand our market share, and accelerate innovation.

Background of the Business Acquisition

The Company has, until now, deployed "totono," its flagship service that streamlines communication between property management companies and residents, to real estate management companies nationwide. As a service that supports residents' "daily lives" through various announcements, chat inquiries, and multilingual support for foreign residents, it has been utilized by real estate management companies across the country.

On the other hand, T&C has specialized technology and extensive implementation experience in the public sector for solutions that optimize communication between local governments and residents using "LINE."

This business acquisition was decided based on our conviction that by combining the communication service technology cultivated by the Company in the "lifestyle" domain of real estate with T&C's expertise in the "public" domain, we can create stronger and higher-value solutions.

The resident app "totono" is a smartphone application that connects real estate management companies and residents. It consolidates interactions that were previously common via phone or mail into the app. By using "totono," residents can check contract details, make inquiries to real estate management companies, and submit various applications anytime within the app. For real estate management companies, it leads to centralized information management, reduced phone calls, paperless operations, and simultaneously achieves improved resident satisfaction and operational efficiency.

Furthermore, "totono" goes one step beyond traditional SaaS (system provision) by offering a BPaaS (Business Process as a Service) model, which allows outsourcing of chat support operations with residents.

By outsourcing chat support, the burden of management tasks is significantly reduced, enabling internal valuable resources to be concentrated on more critical strategic operations.
