1. Initiatives of Both Companies to Date

When a natural disaster occurs, many customers' homes are damaged, and arranging for repair contractors requires significant time and effort. Furthermore, troubles with malicious businesses that take advantage of disasters and contractors who perform improper insurance claim agency services have become a social problem. To address this issue, Sompo Japan Insurance Inc. (President: Koji Ishikawa, hereinafter "Sompo Japan"), a core company of the SOMPO Group, and Speee have been in a business alliance since December 2022, developing the "Minna no Repair*1" service, which introduces reputable repair contractors. A nationwide trial starting in fiscal 2023 has demonstrated solid results in providing prompt recovery support and ensuring appropriate insurance payments.

2. Purpose of Establishing the Joint Venture

Through the nationwide trial, we realized that to alleviate customers' anxiety and burden during disasters, it is necessary to build a comprehensive system that supports the prompt arrangement of reliable, high-quality repair contractors and an early start to construction. Therefore, we decided that it was necessary to further develop our existing business alliance and establish a joint venture.

By combining Speee's extensive network of repair contractors in its renovation DX business with Sompo Japan's customer base, we aim to solve problems inherent in the renovation industry, such as information asymmetry and issues with contractors.

Furthermore, by supporting sustainable business operations through securing appropriate profits for repair contractors and improving user value through enhanced construction quality, we will also contribute to the overall health of the industry.

This initiative is also part of Sompo Japan's "HIKESHI DNA 2030 Project*2," embodying a new way for an insurance company to be, not just by "delivering insurance payments promptly," but by "accompanying customers until their homes are restored."

3. Overview of the Joint Venture Establishment and Investment

Speee will execute a company split to transfer its renovation DX business*3 to a new company. Subsequently, SOMPO Holdings will invest in this new company.
