Minoritied.com Co., Ltd. (Chairman & Representative Director: Yutaka Yamanaka, Head Office: Nerima-ku, Tokyo, hereinafter "the Company") hereby announces that its Chairman & Representative Director, Yutaka Yamanaka, as a shareholder of Cosmo Corporation (President & Representative Director: Kenji Mori, Head Office: Higashinari-ku, Osaka, hereinafter "Cosmo"), has sent a shareholder proposal to Cosmo's Representative Director for the purpose of promoting Cosmo's sustainable growth and enhancing its corporate value, targeting the company's 77th Ordinary General Meeting of Shareholders (scheduled to be held at the end of May 2026), as detailed below.
1. Contents of the Proposed Agenda Items
Proposal No. 1: Partial Amendment to the Articles of Incorporation (Addition of Business Purposes)
To diversify Cosmo's revenue base, we propose adding "real estate investment, sales, leasing, management, brokerage, and consulting services" and "power generation business utilizing renewable energy, and installation, operation, management, investment, and power sales business related to storage batteries" to Article 2 (Purpose) of the current Articles of Incorporation.
Proposal No. 2: Election of one Director
To strongly promote new businesses (real estate development and battery storage business) with specialized knowledge, we propose the election of Mr. Yutaka Yamanaka as a candidate.
Proposal No. 3: Amendment Proposal to the Company's Director Election Proposal
Should the company submit a proposal for the election of directors, we request the election of Mr. Yutaka Yamanaka as an amendment to that proposal.
Proposal No. 4: Amendment Proposal to the Company's Auditor Election Proposal
Should the company submit a proposal for the election of auditors, we request the election of Mr. Yutaka Yamanaka as an amendment to that proposal.
2. Reasons for the Proposal
* Necessity of drastic business restructuring
Cosmo's recent performance and capital efficiency (ROE/ROA) have been significantly below the capital market's required level (8%) in the medium to long term. To break through the stagnant current situation, drastic business portfolio restructuring is essential, including effective utilization of owned assets (such as the head office real estate in Tamatsukuri, Osaka) and entry into the growing field of grid-scale battery storage business.
* Candidate's qualifications
Mr. Yutaka Yamanaka, the candidate for director, graduated at the top of his class from the University of Tokyo's Faculty of Economics and furthered his studies at Columbia University Graduate School, among others, making him an international investor. He possesses deep knowledge and foresight in technology, such as early investment in NVIDIA, and has a global investment track record. Furthermore, considering his relationships with Cosmo's major business partners and his engagement achievements, we are confident that he is the most suitable person to enhance the company's shareholder value.
