ReYuu Japan Signs Five-Company MOU for the Development and Operation of AI-Specialized High-Performance Data Centers

We announce that our company, along with abc Co., Ltd., ImageONE Co., Ltd., Wintest Co., Ltd., and FD Co., Ltd., has today signed a Memorandum of Understanding (MOU) toward the establishment of a joint venture company (hereinafter referred to as the "Joint Venture") aimed at developing AI data centers and building an operational framework.

1. Background and History In recent years, with the rapid spread of generative AI, the demand for high-performance computing resources and the data centers that house them has been structurally expanding. Under these circumstances, the GPU servers introduced in AI data centers are expected to require renewal and replacement after a certain period of operation, and it is anticipated that a secondary market will form in the future. Our company has been working to expand the secondary distribution market accompanying the renewal and replacement of IT equipment through our reuse business. We believe it is important to leverage this expertise to address the GPU server secondary market expected to form in the future. With this recognition, our company has positioned entering the AI infrastructure sector as part of our medium-to-long-term growth strategy and has been considering expanding into AI-related infrastructure businesses centered on GPU servers. Furthermore, as disclosed in the PR release dated February 26, 2026, "Notice Concerning the Establishment of a New AI Strategy Office and Entry into the AI Infrastructure Business," we have decided to enter the AI infrastructure business, and this initiative represents a specific effort based on that strategy. Amidst this, we have also been considering collaboration utilizing the technologies and networks of each company. Now, having reached an agreement on the basic framework for promoting the AI data center business, we have decided to transition this project to a concrete consideration phase.

2. Overview of the Basic Agreement and Business Scheme Through the establishment of this Joint Venture, it is envisioned that the companies will collaborate to promote the planning, development, construction, and maintenance operation of AI-specialized high-performance data centers. Additionally, we will work to integrate the resources necessary for business promotion while utilizing the technologies, networks, and financing functions possessed by each company. This project is an initiative that anticipates the possibility of becoming a business involving a certain scale of investment in the medium to long term, backed by the expanding demand for AI infrastructure in Japan. Regarding the establishment of the Joint Venture, we will proceed with considerations toward establishing a jointly-funded joint venture, "AI Data Partners (tentative name)," around May 2026. In this project, to achieve flexible financing and efficient asset operation, we plan to adopt a scheme in which a "Business SPC (Special Purpose Company)" for each project is established under the joint venture.

3. Our Company's Positioning Our company will be involved in funding and operating the Joint Venture, aiming to launch the AI data center business and realize stable operations. In this business, we envision business development that comprehensively covers everything from securing tenants to buying, selling, operating, and reusing. Our company will be involved in these processes, including pioneering GPU server usage needs and supporting tenant attraction by leveraging partner commercial distribution. Building upon this, it is expected that GPU servers introduced in AI data centers will require renewal and replacement after a certain period of operation, and we assume that the formation and expansion of a secondary market will progress in the future. By utilizing the data and commercial distribution cultivated in our reuse business, our company intends to be proactively involved in the used GPU server market, which is expected to become active in the future, through promoting the reuse and resale of GPU server units and components and building domestic and international sales networks. Through this, we aim to expand the areas in which our company is involved in the series of processes in the data center business—from equipment introduction to operation, renewal/replacement, and redistribution—and establish a certain position in the future secondary distribution market. Furthermore, we will undertake initiatives that look ahead to the entire lifecycle, including the sale, reuse, and dismantling of server equipment, and also connect this to the circulation of resources and the creation of environmental value (GX) through reuse and recycling.
