Over these past five years, the environment surrounding API services has changed significantly. To ensure that Kenall can be used with peace of mind for many years to come, we have decided to establish a new company and transfer the business with the aim of improving operational agility.

3. Business Transfer

We plan to have the newly established company succeed the Kenall business through a company split, with the effective date of the split anticipated to be July 1, 2026.

Regarding handling within the information management system, we are scheduled to undergo an expansion audit for the ISO/IEC 27001 scope in June 2026.

We kindly request our customers to note the following:

a. Change in Service Provider (July 1, 2026)

All services related to Kenall will be provided by the new company, Kenall Co., Ltd., as of July 1, 2026. Information necessary for service provision, including those listed in the Privacy Policy, will also be transferred to the new company concurrently.

Please be assured that there will be no changes to the following at this time:

  • API endpoints

  • API keys

  • Contact information

b. Subscription Renewal Due to Change in Billing Entity (July 1, 2026)

Due to the billing entity migrating to the new company on the same day, all subscriptions will be recreated simultaneously at 00:00:00 (JST) on July 1, 2026. Subsequent billing will be handled by Kenall Co., Ltd.

Accordingly, the following billing scenarios are anticipated:

  • Usage up to 23:59:59 on June 30, 2026

    This will be billed by Open Collector Inc. Any remaining balance calculated on a prorated basis from 00:00:00 on July 1, 2026, until the end of the current billing period will be applied to the initial invoice from the New Company. Administrative fees, etc., will also be calculated on a prorated basis.

  • Usage from 00:00:00 on July 1, 2026

    This will be billed by Kenall Co., Ltd. If there is a remaining balance corresponding to the unexpired portion of the billing from our company, the amount after deducting that portion will be billed.

Information regarding billing methods is as follows:

  • Customers using credit card payments

    We will not ask you to re-enter your credit card number or other details.

  • Customers using invoice payments

    The bank account number for payment will not change.

c. Contract Renewal Due to Change in Contracting Party (Until June 30, 2026)

Our contractual position will be succeeded by the New Company.

  • Customers subscribed to the Standard Plan or Premium Plan (and various options)

    By June 30, 2026, you will be required to agree to the New Terms of Service and Privacy Policy with the New Company as the service provider. (There are no changes to the clauses.)

  • Customers subscribed to the Enterprise Plan

    By June 30, 2026, after agreeing to the New Privacy Policy, your current Kenall Enterprise Subscription Agreement will be renewed. The delivery of contract documents is scheduled for mid-April 2026 or later. (No changes to clauses other than the contracting party are planned.)

  • Customers who have concluded contracts via electronic signature

    We will send a PDF of the contract to your registered email address and to the contact person at the time of contract.

  • Customers who have concluded contracts on paper

    We will send the contract to your registered email address and to the contact person at the time of contract via either Letter Pack or registered mail.

Details regarding other company splits and post-split matters will be announced promptly as they are determined.
