## 1. Purpose of Establishing the New Company and Business Transfer
Thanks to your support, the API service 'kenall' celebrated its 5th anniversary of operation in February 2026 and has grown into a service that supports the activities of many customers. During these five years, the environment surrounding API services has changed significantly. To ensure that you can continue to use kenall with peace of mind for many years to come, we have decided to establish a new company and transfer the business to improve agility.
## 2. Overview of the New Company
- Company Name: kenall Inc.
- Location: Kojimachi Ekimae Hilltop, 3-12-14 Kojimachi, Chiyoda-ku, Tokyo
- Representative: Moriyoshi Koizumi, Representative Director
- Business Activities: API service providing postal code search, corporate information search, financial institution information search, etc.
- Capital: 5 million JPY
- Establishment Date: April 1, 2026
- Shareholder: Open Collector Co., Ltd. (100%)
## 3. Business Transfer
We plan to transfer the kenall business to the newly established company through a company split, with the effective date of the split expected to be July 1, 2026.
Regarding the handling under our information management system, we are scheduled to undergo an audit in June 2026 to expand the scope of our ISO/IEC 27001 certification.
We kindly ask our customers to take note of the following points.
### a. Change of Service Provider (July 1, 2026)
As of July 1, 2026, all services related to kenall will be provided by the new company, kenall Inc. The information necessary for providing these services, including those listed in the Privacy Policy, will also be transferred to the new company at the same time.
Please be assured that **there will be no changes to the following**:
- API endpoints
- API keys
- Contact information
### b. Subscription Renewal Due to Change in Billing Entity (July 1, 2026)
As the billing entity will shift to the new company on the same date, all subscriptions will be recreated simultaneously at 00:00:00 on July 1, 2026 (Japan Time). Subsequent billing will be conducted by kenall Inc.
We anticipate the billing will be processed as follows:
- Usage until 23:59:59 on June 30, 2026
This will be billed by Open Collector Co., Ltd. Any remaining balance for the unexpired portion of the current billing period from 00:00:00 on July 1, 2026, will be calculated on a pro-rata basis and applied to the first bill from the new company. Administrative fees will also be calculated on a pro-rata basis.
- Usage from 00:00:00 on July 1, 2026
This will be billed by kenall Inc. If there is a remaining balance corresponding to the unexpired portion of the bill from our company, that amount will be deducted from your bill.
Guidance on payment methods is as follows:
- For customers paying by credit card
You will not be required to re-enter your credit card number or other information.
- For customers paying by invoice
The bank account number for payments will not change.
### c. Contract Renewal Due to Change in Contracting Party (by June 30, 2026)
The contractual status of our company will be succeeded by the new company.
- For customers with Standard or Premium plans (and various options)
**You will need to agree to the new Terms of Service and Privacy Policy**, which designate the new company as the service provider, by June 30, 2026. (There are no changes to the clauses.)
- For customers with Enterprise plans
After agreeing to the new Privacy Policy, you will need to renew the existing kenall Enterprise Subscription Agreement by June 30, 2026. We plan to send the contract documents from mid-April 2026 onward. (No changes to clauses other than the contracting party are planned.)
- For customers who have concluded contracts with electronic signatures
We will send the contract PDF to your registered email address and to the person in charge at the time of the contract.
- For customers who have concluded contracts on paper
We will send the contract documents to your registered email address and to the person in charge at the time of the contract via Letter Pack or registered mail.
