Obayashi Corporation (Head Office: Minato-ku, Tokyo; President: Toshimi Sato) has acquired shares in PT JTD JAYA PRATAMA (hereinafter, JTDJP), which operates an expressway concession business in the Jakarta metropolitan area, Indonesia, and will participate in the Jakarta expressway concession project.

The Obayashi Group has set a direction for sustainable growth, aiming for non-domestic construction businesses to generate performance equal to or greater than domestic construction, and is working to build a future group business structure to achieve this. Infrastructure operation (PPP/concession, etc.) is an area expected to generate stable cash flow and is positioned as an important business opportunity that contributes to enhancing the corporate value of the Obayashi Group.

In Indonesia, Obayashi Corporation has built a business foundation centered on construction projects and deepened its partnership with PT PEMBANGUNAN JAYA (hereinafter, Jaya), a leading local company, since establishing Jaya Obayashi jointly with them in 1972.

JTDJP, a group company of Jaya, holds the operating rights (total project cost approximately 213 billion yen) for an approximately 31km expressway traversing the city center of Jakarta, the capital of Indonesia, where chronic traffic congestion is a challenge. Although it is currently partially open, when the entire section opens after land acquisition by the Indonesian government, an increase in traffic demand is expected, contributing to the alleviation of general road congestion.

Furthermore, PT Jakarta Tollroad Development (hereinafter, JTD), a subsidiary of Jaya and the parent company of JTDJP, holds concession rights (Phase 1-3) for expressways planned for development in Jakarta, and the Obayashi Group is expected to obtain priority participation rights in these projects.

Jakarta Metropolitan Area Expressway Network Plan

For the acquisition of JTDJP shares, a local subsidiary, PT Obayashi Concession Indonesia (hereinafter, OCI), will be established through a joint investment by Obayashi Corporation and Jaya Obayashi, and OCI will acquire 12.5% of JTDJP's shares. Subsequently, the share acquisition ratio is planned to be increased to 48.8% upon completion of land acquisition by the Indonesian government.

By sharing the know-how cultivated through the Obayashi Group's domestic and international construction projects with JTDJP and supporting the advancement and efficiency of its operations, we will promote the enhancement of JTDJP's business value and the growth of the concession business. Concurrently, we will strengthen the Obayashi Group's profitability and expand its business portfolio, contributing to the improvement of corporate value and the resolution of social issues such as traffic congestion.
