Announcement of Completion of Share Acquisition by ES CON Inc. (Becoming a Consolidated Subsidiary)

Montedio Yamagata Co., Ltd. (Headquarters: Yamagata City, Yamagata Prefecture, Representative Director and President: Kentaro Aida, hereinafter referred to as "MY") hereby announces that all procedures and fund settlements for the share acquisition agreement concluded with ES CON Inc. (Headquarters: Minato-ku, Tokyo, Representative Director and President: Takatoshi Ito, hereinafter referred to as "ES CON") on February 26, 2026, have been completed today, July 1, 2026.

This transaction was executed upon the fulfillment of all prerequisites, including approval from the J.League and approval at the general meetings of shareholders of both companies.

As a result, MY will become a consolidated subsidiary of ES CON. Moving forward, we will leverage ES CON's expertise in real estate development and its track record in projects centered around sports facilities, integrating the development of a new stadium (hardware), scheduled for completion in August 2028, with the club management of Montedio Yamagata (software), to further promote regional revitalization and sustainable club management.
