Medley Inc. (Head office: Minato-ku, Tokyo; Representative Director and President: Kohei Takiguchi; hereinafter, Medley) has decided to acquire all shares of a newly established company that Recruit Medical Career Inc. (Head office: Chiyoda-ku, Tokyo; Representative Director: Toru Takasaki; hereinafter, Recruit Medical Career) will establish to succeed its entire business through an absorption-type company split, thereby making it a subsidiary. This acquisition aims to take over all businesses operated by Recruit Medical Career.
Through this, Medley will acquire all businesses operated by Recruit Medical Career, including its recruitment support services which boast industry-leading achievements in the doctor and pharmacist fields. This will create synergies with Medley's human resources platform business, which is working to strengthen its presence in the doctor, nurse, and pharmacist fields.

◾️Purpose of Share Acquisition
Medley operates under the mission of "creating the future of medical healthcare," promoting digital transformation in the medical and healthcare sector by leveraging technologies such as the internet. Currently, it develops a human resources platform business that fully supports "working" for those who provide satisfactory medical and welfare services, and a medical platform business aimed at improving the operational efficiency of medical institutions and enhancing patient access to medical care.
In its human resources platform business, Medley's service vision is "supporting work more broadly." It operates businesses such as "Job Medley," one of Japan's largest medical and nursing care job sites, and "Job Medley Academy," an online video training service for nursing care, disability welfare, home medical care, and nursing, supporting the recruitment, training, and retention of individuals and organizations involved in medical, nursing, and welfare services. "Job Medley" has expanded its number of client facilities to approximately 440,000*1 by providing an affordable, performance-based direct recruiting service with online support. In recent years, Medley has been working to strengthen its presence in the doctor, nurse, and pharmacist fields, where there is significant room for market share expansion, to further increase the value it provides.
On the other hand, Recruit Medical Career provides recruitment support services for doctors and pharmacists, primarily through advisor support, and has industry-leading achievements in this field, including a cumulative registered user base of over 60,000 doctors and over 70,000 pharmacists. The services offered by Recruit Medical Career and Medley's human resources platform business are highly complementary. Through this acquisition, by leveraging Medley's ability to attract users and Recruit Medical Career's expertise in recruitment support services, Medley will be able to expand its market share in the doctor, pharmacist, and hospital sectors, strengthen online support in its recruitment agency business, and expand services to include multiple professions. Furthermore, Medley believes that starting with recruitment agency services, it can eventually develop BPO (Business Process Outsourcing) services utilizing AI and DX for the entire HR operations of medical institutions.
Given these expected synergies, Medley has decided to acquire the shares.
