Announcement Regarding the Conclusion of a Capital and Business Alliance, Dissolution of a Capital Alliance and Change in Business Alliance, Sale of Shares, and Scheduled Change in Major Shareholder and Other Affiliated Companies

Lifenet Insurance Company (URL: https://www.lifenet-seimei.co.jp/, Headquarters: Chiyoda-ku, Tokyo, Representative Director and President: Junpei Yokozawa) today received a report that au Financial Holdings Corporation (hereinafter "auFH"), our major shareholder, has agreed with Japan Airlines Co., Ltd. (hereinafter "JAL") to transfer all of our common shares owned by auFH to JAL (hereinafter "this transfer").

In connection with this transfer, our company, by a resolution of the Board of Directors dated today, has decided to conclude a new capital and business alliance with JAL, dissolve the capital alliance with auFH, change the business alliance with auFH and KDDI Corporation, and sell our common shares. We hereby announce that, along with these changes, there is an expected change in our major shareholder and other affiliated companies, as detailed in the attached document.
