1. Purpose of Business Acquisition
Since its establishment in 1963, our company has developed retail service businesses centered on gas stations, golf driving ranges, and fitness clubs in the Tokyo metropolitan area. In the golf business, we have been actively working to further strengthen our business, starting with the opening of Iwatsuki Family Golf in Saitama City, Saitama Prefecture in 1973, followed by Yokohama Asahi Family Golf in Yokohama City, Kanagawa Prefecture in 2008, the start of operations for Sportopia in Soka City, Saitama Prefecture in 2020, the acquisition and start of operations for Kazo Inter Golf Garden (now Kazo Family Golf) in Kazo City, Saitama Prefecture through business transfer in 2023, and the acquisition of all shares of Homer Sports Kogyo Co., Ltd., which operates The Links Golf Club, in 2025, expanding our business into the Kansai area.
As the Target Business operates a Golf Partner store within The Links Golf Club, which is operated by our group, acquiring the Target Business will enable our group to operate both the golf driving range and Golf Partner as an integrated entity. By operating the golf driving range and Golf Partner as an integrated group, we anticipate synergy effects such as mutual customer referral, mutual utilization of various assets including personnel exchange, and standardization of operations.
