Notice of Completion of Share Acquisition (M&A) of Kinki Sogo System Hanbai Co., Ltd.

Karzoc Co., Ltd. (Headquarters: Nagoya City, Aichi Prefecture; Representative Director and President: Yoshiyuki Kuribayashi; hereinafter "the Company") is pleased to announce that it has decided to acquire all shares of Kinki Sogo System Hanbai Co., Ltd. and make it a wholly-owned subsidiary, effective March 24, 2026.

Background and Purpose of Acquisition

Since its establishment in 1971, the Company has developed businesses nationwide, primarily in family amusement, experiential facility, and ICT education, under the philosophy of "Bringing smiles and happiness to precious family moments." To further improve the quality of facility operations, the development and advancement of IT systems have become a common management challenge for the group.

Kinki Sogo System Hanbai, established in 2000, is a specialized company that has consistently handled IT system planning, sales, maintenance, and support, including sales and maintenance of business software, provision of POS systems and registers, LAN and network construction, and accounting and labor support. The company has deep trust relationships with its customers and high in-house technical capabilities, such as being entrusted with network system management for 250 stores nationwide for a major restaurant chain.

By promoting IT infrastructure in collaboration with Kinki Sogo System Hanbai across all facilities operated by our group, including hardware procurement and maintenance management, network construction and operation, and business system implementation and support, we aim to improve operational efficiency across the group and enhance the quality of customer experience.
