Announcement of Completion of Share Acquisition (M&A) of Kinki Sogo System Hanbai Co., Ltd.

Carzoc Inc. (Headquarters: Nagoya City, Aichi Prefecture; President & CEO: Yoshiyuki Kuribayashi; hereinafter “the Company”) announced today that it has decided to acquire all shares of Kinki Sogo System Hanbai Co., Ltd. and make it a wholly-owned subsidiary, effective March 24, 2026.

■ Background and Purpose of Acquisition

Since its founding in 1971, the Company has operated family amusement businesses, participatory experience facility businesses, and ICT education businesses nationwide under the philosophy of “Bringing smiles and happiness to precious family moments.” Improving the maintenance and sophistication of IT systems has become a common management challenge across the group to further enhance the quality of facility operations.

Kinki Sogo System Hanbai, established in 2000, is a specialized company that has consistently handled the planning, sales, maintenance, and support of IT systems, including sales and maintenance of business software, provision of POS systems and registers, LAN and network construction, and accounting and labor support. The company has deep trust relationships with its customers and possesses high in-house technical capabilities, as demonstrated by its exclusive management of network systems for 250 stores of a major restaurant chain nationwide.

By collaborating with Kinki Sogo System Hanbai, we will promote the entire IT infrastructure across all facilities operated by our group, including the purchase and maintenance management of hardware, network construction and operation, and the introduction and support of business systems. This will aim to improve operational efficiency across the group and enhance the quality of customer experience.
