This service will provide an environment where startup founders and representatives can create, simulate, and revise their company's capital policy tables simply by talking to an AI.

Capital policy is a fundamental business operation for startups, involving the planning of stock and new stock option issuance at each stage of growth. It is a necessary task before any fundraising and continues to be relevant from the company's inception through its later stages.

smartround has offered capital policy functions since its service began, receiving positive feedback for automating complex calculations, including the automatic conversion of J-KISS.

However, we have continued to receive feedback from startups on the following challenges:

Many first-time fundraisers express, "I don't know where to start."

Operational Burden of Repetitive Simulations Creating, comparing, and verifying multiple scenarios with future fundraising rounds and dilution in mind requires complex Excel operations, which are prone to errors. Even when using smartround, the amount of UI operations could be substantial.

Lack of Consultation Partners There are no means to respond to needs for advice, such as "I want advice" or "I want to confirm if this direction is correct," and requesting assistance from experts incurs costs and time.

*Currently, the MCP server for investor users does not offer capital policy reference or update functions.

Overview of 4 Types of Capital Policy Skills

To enable simpler and more accurate capital policy creation, we are offering not only the MCP server but also four types of Capital Policy Skills. Skills files can be downloaded from the application form at the bottom of this release.

Scenario Creation

Based on capital policy data in smartround or your existing shareholder composition documents, the AI will sequentially ask questions about exit timing/method/assumed valuation, fundraising amount/frequency up to that point, and policies for granting SOs to employees. Based on the interview, a capital policy table will be created in smartround, and a URL will be issued.

Scenario Comparison

Allows side-by-side comparison of multiple created scenarios. The transition of market capitalization, net proceeds at exit, and multiples can be visually confirmed using tables and graphs.

Fundraising History Analysis

Aggregates past fundraising by round and outputs a summary statement and a time-series graph (market capitalization, cumulative fundraising, shareholder composition).

Distribution Analysis at Exit

Calculates the net proceeds for each shareholder upon exit, such as through M&A, based on the residual estate priority distribution rights. Simulations can be performed by adjusting the sale amount and the presence or absence of SO exercise on the spot.

About Usage

This feature is exclusive to smartround's Professional Plan. However, for one year from the release (until the end of June 2027), all users on the Standard Plan or higher can use it at no additional cost.

*The target plans, usage fees, and availability after July 2027 will be determined separately by our company based on usage status, etc., and will be announced in advance a reasonable period (approximately 60 days) before the end of provision.
