JK Holdings Acquires All Shares of Chofu Housing Co., Ltd.

JK Holdings Co., Ltd. (Koto-ku, Tokyo; Representative Director and President Keiichiro Aoki / hereinafter, JKHD) announces that it has reached an agreement to acquire all outstanding shares of Chofu Housing Co., Ltd. (Chofu City, Tokyo; Representative Director Kenji Ishiguro / hereinafter, Chofu Housing), excluding treasury stock, and has signed a share transfer agreement. As a result, Chofu Housing is expected to become a member of the JK Holdings Group (hereinafter, JKHD Group).

1. About JKHD Group and JKHD The JKHD Group's corporate philosophy is "Creating comfortable and rich living environments." It primarily engages in the manufacturing and sales of plywood, processing and sales of wood, and wholesale business of plywood, plywood secondary products, building materials, and housing equipment. With 61 group companies and approximately 300 locations nationwide, it aims for further development and evolution in the "housing" sector, conducting community-based businesses. JKHD, as the holding company of the JKHD Group, is responsible for the overall management and operation of the group.

2. Purpose of Share Acquisition In its mid-term management plan 'Value Proposition27,' newly formulated last fiscal year, the JKHD Group is focusing on "strengthening its core business through M&A for facility development" as a key initiative. Chofu Housing, based in Chofu City, Tokyo, is engaged in the processing and sales of sashes and glass. By making it a subsidiary, the JKHD Group will expand its presence in the same region, and we believe that further services can be provided through group synergies.
