Inboundtec Co., Ltd. to Make FW Co., Ltd. and Webcrew Co., Ltd. Wholly Owned Subsidiaries through Simplified Share Exchange

Inboundtec Co., Ltd. (TSE Growth: 7031) announced today that it has decided to make FW Co., Ltd. (hereinafter "FW") a wholly-owned subsidiary through a simplified share exchange, effective May 13, 2026. Accompanying this, Webcrew Co., Ltd., a wholly-owned subsidiary of FW, will also join our group.

Our company operates "Multilingual CRM Business" centered on multilingual contact centers and "Sales Outsourcing Business," providing customer support and sales assistance to companies with our strength in 24/7, 12-language support system.

On the other hand, Webcrew Co., Ltd. operates comparison and information request sites in a wide range of fields such as "Insurance," "Moving," "Automobiles," "Seniors," and "Education," boasting over 20 million users to date. A significant feature is its in-house capability for web marketing, advertising operations, and system development.

Through this group integration, we will merge our multilingual resources with Webcrew's web service operation know-how and system development capabilities, accelerating the strengthening of AI-related areas and the creation of new businesses.

In particular, we aim to build new revenue models, such as comparison and information request sites for foreign residents in Japan, and accelerate our expansion into the IT and Web service domains.

The effective date of the share exchange is scheduled for June 9, 2026. For each common share of FW, 1,384 common shares of our company will be allocated, with a planned total of 379,216 shares to be delivered.

Moving forward, our group will continue to promote growth in the IT and Web service domains in addition to the BPO business, striving to enhance corporate value over the medium to long term.
