Tokio Marine & Nichido Fire Insurance Co., Ltd. (President and CEO: Hiroaki Shirota, hereinafter "Tokio Marine & Nichido") and Funai Soken Holdings Inc. (President and Group CEO: Takayuki Nakatani, hereinafter "Funai Soken Holdings") are pleased to announce that they have entered into a capital and business alliance agreement with the aim of further advancing initiatives to support the sustainable growth of mid-to-small-sized enterprises and strengthening human resource development to achieve this goal.

Through this alliance, both companies will build new collaborative models to support mid-to-small-sized enterprises, contributing to the revitalization of regional economies and the development of the Japanese economy as a whole.

1. Background

In December 2025, Tokio Marine & Nichido and Funai Soken Co., Ltd. (hereinafter "Funai Soken") entered into a strategic comprehensive partnership agreement*1. Under this agreement, Tokio Marine & Nichido's risk solutions and Funai Soken's growth support consulting have been integrated to promote one-stop support for mid-to-small-sized enterprises. As a result, the collaboration between the two companies has steadily progressed, leading to concrete achievements such as deal creation and service provision. Based on these results, the two companies have entered into a capital and business alliance agreement to further deepen and accelerate their collaboration.

2. Overview

In recent years, corporate management challenges have become increasingly complex and sophisticated due to factors such as intensifying natural disasters and rising cyber risks, as well as the worsening labor shortage and business succession issues.

In this environment, Tokio Marine & Nichido has positioned mid-to-small-sized enterprises, which account for approximately 99% of companies in Japan, as a focus area, promoting the provision of diverse solutions including insurance and support for business continuity plan (BCP) formulation. The Funai Soken Group, as a consulting firm with strengths in supporting the growth of companies in the mid-to-small-sized enterprise market, offers a wide range of services from the formulation of management strategies to execution support.

To provide more effective support for the unique challenges faced by each company, it is important to provide comprehensive support that starts with the management's future vision and encompasses the company's PMVV (Purpose, Mission, Vision, Value), business strategy, human resource strategy, and financial strategy.

In this alliance, we will leverage the synergy of our businesses and customer bases to further strengthen our collaboration through the following initiatives, thereby providing more effective support tailored to the distinct challenges of each company:

(1) Dispatch of Trainees to the Funai Soken Group

Employees of Tokio Marine & Nichido will be dispatched as trainees to the Funai Soken Group. Through practical experience, trainees will acquire the following skills to enhance their support capabilities for client companies:

* Knowledge related to the formulation of PMVV (Purpose, Mission, Vision, Value), business strategy, human resource strategy, and financial strategy * Methods for formulating roadmaps for corporate growth * Accompanied consulting for the management of mid-to-small-sized enterprises

Through this, Tokio Marine & Nichido will strengthen its system to structurally grasp management issues starting from the company's vision, going beyond insurance and risk management, and to consistently provide support from proposal to execution, tailored to the characteristics and challenges of each company size and industry.

(2) Joint Development of Training Programs Based on Trainee Dispatch

Tokio Marine & Nichido will jointly develop its own unique training programs with Funai Soken, based on the knowledge gained through dispatching trainees to the Funai Soken Group.

This training program will be deployed not merely as an introduction of external know-how, but as a highly reproducible development model backed by practical experience within the Funai Soken Group.

(3) Enhancement of Consulting Value for Mid-to-Small-Sized Enterprises

The Funai Soken Group will leverage the knowledge of risk management gained through collaboration with Tokio Marine & Nichido to improve the quality of consulting for existing clients, and by combining the strengths of both companies, will expand opportunities to provide services to a wider range of companies.
