We hereby announce this decision.
Initially, it was anticipated that Hiroshi Isogai would assume the position of Representative Director. However, following a re-examination of the business promotion structure, and considering the operational system and governance comprehensively, it has been decided that Mina Sugimura will be appointed as Representative Director. Mina Sugimura's background is as follows. Ms. Sugimura has experience in Web3 and AI-related businesses and possesses the knowledge necessary for promoting the AI and Web3 domain businesses planned by "BCDC.Ai.GPU Data Center Inc." Furthermore, from the perspective of separating investors from operational executors and ensuring a system of checks and balances, the Company has decided to appoint Ms. Sugimura as Representative Director, rather than Mr. Hiroshi Isogai, who is scheduled to invest 49%. Mr. Isogai will be involved in the business as a shareholder, and Ms. Sugimura will be responsible for operations, thereby enhancing governance and management control systems.
Additionally, based on deliberations following the previous disclosure, the business details have been updated because the policy has been to expand the business model not only to GPU data centers alone but also to incorporate AI services. Regarding the necessary funds for the business model change, detailed capital investment plans are currently being scrutinized. Information on funding methods and investment amounts will be disclosed once finalized.
Discussions regarding the business alliance with ZYRQ Inc., disclosed on March 18, 2026, are ongoing.

Currently, against the backdrop of the rapid proliferation of generative AI and large language models (LLMs), the demand for computational infrastructure supporting AI is expanding globally.
With the advancement of AI, investments in high-performance GPUs, servers, cooling equipment, and power infrastructure are accelerating, and the global data center investment market is projected to expand to approximately 1,500 trillion yen by 2030.
However, the widespread adoption of AI faces physical challenges related to "heat generation," "power consumption," and "installation space," which have become global bottlenecks.
Our group will enter the AI infrastructure business, centered on immersion-cooled GPU data centers as next-generation technology to solve these challenges, and will simultaneously provide a suite of AI services utilizing this infrastructure, thereby building a new growth foundation for the AI and Web3 era.
[AI Infrastructure Platform Aimed for by BCDC.Ai]
BCDC.Ai.GPU Data Center Inc. aims to be a platform company that provides AI infrastructure to AI services in an integrated manner, not just a GPU data center operator.
Based on the AI infrastructure owned by our group, we will develop multiple services to support corporate AI utilization and promote the construction of a continuous, recurring revenue model.

1. Immersion-Cooled GPU Data Center Business

Discussions are currently underway with multiple potential partners, but the partner is undecided at this time, and no formal contract has been signed.
2. "isoAi" AI Platform Business
We will provide an AI platform for businesses that integrates multiple generative AI models.
We will provide an environment where companies can use the optimal AI for their intended purposes, promoting improved operational efficiency and AI utilization.
3. "BCDC AI Gateway" Business
We will provide an API gateway service that integrates and manages multiple AI models.
Companies will be able to use various AI models through a single point of contact, realizing optimization of AI usage costs and improved convenience.
4. AI-Related SaaS Business
We will sequentially deploy SaaS services to support corporate DX, such as the attendance and shift management system "Staff Manager" and the AI-powered web push notification service "Concierge Push."

1. Next-Generation GPU Infrastructure with Immersion Cooling
BCDC.Ai.GPU Data Center Inc. is considering immersion cooling technology as a strong candidate technology. If immersion cooling technology is adopted, it is generally expected to improve cooling efficiency and reduce power consumption, which could enhance our ability to respond to AI demand. The adopted technology is currently under consideration and has not been finalized.
Immersion cooling significantly reduces cooling power, improves installation efficiency, and enables stable GPU operation, which we believe will be a key competitive advantage in meeting the rapidly expanding AI demand.
2. Integrated Operation from AI Infrastructure to SaaS within Our Group
Our group will develop GPU data centers, AI platforms, AI API services, and SaaS services internally.

In the disclosure dated March 18, 2026, we planned to develop business utilizing container-type GPU data centers. However, as a result of subsequent re-examination of business feasibility and operational efficiency, the policy has been changed to prioritize facility deployment within major data center facilities.
Therefore, the following items described in that disclosure:

- Scheduled to commence operations in August 2026
- Initial investment of approximately 100 million yen
- Phased capital investment spanning the fiscal years ending July 2029 and July 2030
have had their preconditions changed at this time, and a new facility plan is being formulated. The new capital investment plan will be announced once it is finalized.
