(Headquarters: Minato-ku, Tokyo; Representative Director: Takashi Shigetomi; Securities Code: 9425), Image One Co., Ltd. (Headquarters: Shinagawa-ku, Tokyo; Representative Director: Ayumu Kawakura; Securities Code: 2667), Wintest Corp. (Headquarters: Yokohama, Kanagawa; Representative Director: Hui Jiang; Securities Code: 6721), and FD Co., Ltd. (Headquarters: Kariya, Aichi; Representative Director: Masashi Suzuki) (collectively, the "Five Companies") to establish a joint venture named "AI Data Partners (tentative)" (the "Joint Venture") for the purpose of developing and building an operational structure for AI-specific high-performance data centers (the "Data Centers") in Japan.
1. Background and Purpose of the MOU
With the rapid expansion of the generative AI and big data markets, the global demand for high-performance data center infrastructure to support massive computational processing is skyrocketing. In Japan, securing advanced computing resources has become an urgent task from the perspectives of economic security and digital transformation (DX).
In this environment, the Five Companies, including our Company, aim to provide high-performance data centers that will serve as the next-generation AI foundation by integrating their respective areas of expertise (infrastructure development, AI solutions, precision equipment technology, data operations, etc.). Through the establishment of the Joint Venture, we will accelerate the creation of new revenue streams and contribute to the development of the generative AI market in Japan.
2. Main Contents of the Agreement and Business Scheme
The Five Companies plan to establish the Joint Venture through joint investment by May 2026. This project is expected to develop into a business with a significant investment scale over the medium to long term, following this scheme:
Establishment of the Joint Venture: Centered on "AI Data Partners (tentative)," we will explore the participation of external investors and strategic partners.
Adoption of SPC (Special Purpose Company) Method: To ensure flexible financing and efficient asset management, "Project SPCs" will be established under the Joint Venture for each project.
Investment and Operational Goals: Centered on these SPCs, project financing and other methods will be utilized to acquire and operate data center businesses at approximately 10 locations in Japan. The goal is to achieve an IRR (Internal Rate of Return) of 6% or higher.
3. Roles and Expertise of Each Party
In this project, our Company will lead the financing and business structuring, playing a central role in financial strategy and capital policy.
- abc Inc.: Overall coordination, finance. Management of the project and JV operation. Fundraising from institutional investors/banks, support for obtaining subsidies. Governance and compliance management.
- ReYuu Japan Inc.: Demand creation, asset circulation. Developing demand for GPU servers and tenant attraction. Reuse/resale business of GPU servers and components (GPUs, CPUs, networking). Strategic planning for equipment lifecycle. GX support through resource circulation.
- Image One Co., Ltd.: AI solutions, image analysis. Development of AI image analysis platforms utilizing high-performance data centers. Providing AI services for specific fields (medical, satellite, drones). Integration of big data analysis software.
- Wintest Corp.: Hardware, inspection technology. Quality control and inspection systems for GPU servers and semiconductor equipment. Monitoring systems for data center facilities. Maintenance planning.
- FD Co., Ltd.: System operation, networking. Building operational structures based on knowledge of solar power/storage batteries, network maintenance. Design/construction of high-speed communication networks and cybersecurity. Development of cloud management interfaces.
ReYuu Japan, Image One, and Wintest already have strong cooperative relationships with our Company, and FD joins as a strategic partner of Image One with expertise in energy infrastructure.
4. Future Developments
Going forward, we will proceed with the signing of the final contract for the establishment of the Joint Venture, formulation of business plans, site selection, and partner development...
