Announcement Regarding Capital and Business Alliance with Okinawa Software Center Co., Ltd.

Dai-ichi Life Techno Cross Co., Ltd. (Headquarters: Chiyoda-ku, Tokyo; President and Representative Director: Isamu Ando; hereinafter "Dai-ichi Life Techno Cross") hereby announces that it has reached an agreement to enter into a capital and business alliance with Okinawa Software Center Co., Ltd. (Headquarters: Naha City, Okinawa Prefecture; President and Representative Director: Takashi Matsuda; hereinafter "Okinawa Software Center").

1. Background and Purpose of the Capital and Business Alliance Dai-ichi Life Techno Cross serves as the core company responsible for the IT and digital sectors of the Dai-ichi Life Group, working to create value through IT and digital technologies across a wide range of fields, including insurance and finance.

Okinawa Software Center operates a business centered on system development and IT services based in Okinawa, possessing deep-rooted technical expertise and a proven track record in human resource development.

The two companies began a business outsourcing relationship in April 2004, starting with a team of approximately 15 people. Through continuous collaboration, this structure has expanded, reaching a scale of approximately 100 people as of 2025. Moving forward, through this capital and business alliance, we will further strengthen our established collaborative relationship and maximize our respective strengths to reinforce our business foundations and achieve medium- to long-term growth, while also expanding our organizational structure in anticipation of further business growth.

2. Details of the Business Alliance Through this capital and business alliance, the two companies plan to collaborate primarily in the following areas: (1) Ensuring stable human resources and quality (2) Strengthening management-level cooperation (3) Activating human resource development and personnel exchanges (4) Joint research on services and solutions Specific initiatives will be discussed and implemented sequentially by both companies.

3. Overview of the Capital Alliance Dai-ichi Life Techno Cross will acquire additional shares of Okinawa Software Center's issued stock, resulting in a voting rights ratio of 15% or more. Consequently, Okinawa Software Center will become an affiliated entity of our company (a corporation with which we have a close relationship through investment, personnel, and business transactions). Through this capital alliance, we will solidify the relationship between the two companies and aim to create business synergies under a long-term partnership.
