Regarding Capital and Business Alliance with Okinawa Software Center Co., Ltd.

Dai-ichi Life TechnoCross Corporation (Headquarters: Chiyoda-ku, Tokyo, President and CEO: Isamu Ando, hereinafter referred to as "Dai-ichi Life TechnoCross") is pleased to announce that it has reached an agreement to enter into a capital and business alliance with Okinawa Software Center Co., Ltd. (Headquarters: Naha City, Okinawa Prefecture, President and CEO: Takashi Matsuda, hereinafter referred to as "Okinawa Software Center").

1. Background and Objectives of the Capital and Business Alliance Dai-ichi Life TechnoCross, as the core company responsible for the IT and digital fields within the Dai-ichi Life Group, is engaged in creating value through IT and digital technologies in a wide range of areas, including insurance and finance. Okinawa Software Center, based in Okinawa, operates primarily in system development and IT services, possessing a track record of technology and human resource development rooted in the region. The two companies began a business consignment relationship in April 2004, initially with a team of approximately 15 people. Since then, through continuous collaboration, the team has expanded, reaching approximately 100 people as of 2025. Moving forward, through this capital and business alliance, we aim to further strengthen the collaborative relationship cultivated so far, maximize the strengths of each company to enhance our business foundation and achieve mid-to-long-term growth, and expand our operations with a view to further business expansion. 2. Details of the Business Alliance Through this capital and business alliance, the two companies plan to collaborate primarily in the following areas: (1) Stable securing of human resources and quality (2) Strengthening of management collaboration (3) Promotion of human resource development and exchange (4) Joint research on services and solutions Specific initiatives will be discussed and implemented sequentially by both companies in the future. 3. Overview of the Capital Alliance Dai-ichi Life TechnoCross will acquire an additional portion of Okinawa Software Center's outstanding shares, holding a voting rights ratio of 15% or more. As a result, Okinawa Software Center will become an affiliated entity of Dai-ichi Life TechnoCross (a company with which Dai-ichi Life TechnoCross has a close relationship through investment, personnel, and transactions). This capital alliance will further solidify the relationship between the two companies and aim to create business synergies under a long-term partnership.
