COUNTERWORKS Strengthens Governance Structure with Three New Auditors

COUNTERWORKS Inc. (Headquarters: Shinagawa-ku, Tokyo; Representative Director and CEO: Naoki Sampei; hereinafter "COUNTERWORKS"), which aims to create new infrastructure by digitalizing commercial real estate, announces the appointment of three new outside auditors to further strengthen its governance structure in line with business growth.

Background of the Appointment COUNTERWORKS provides the pop-up store opening support platform "Shopcounter" and the leasing DX support SaaS "Shopcounter Enterprise" for commercial facilities. As our initiatives with various operators such as commercial facilities, brands, manufacturers, and sole proprietors expand, it is becoming more important than ever to enhance the soundness of decision-making and the effectiveness of internal controls, and continuously update a highly reliable operational structure.

By expanding the auditor system this time, we will prepare a foundation that can balance disciplined management and risk management while maintaining the speed of growth. At the same time, we will incorporate the specialized perspectives of each auditor in finance, law, system development, and accounting, aiming to strengthen the audit function that supports highly transparent management decisions even in a rapidly changing market environment.

New Auditor Profiles Auditor (Full-time) Toshihiro Nagai After graduating from the Faculty of Engineering at Doshisha University, he engaged in corporate sales and investment banking at Taiyo Kobe Bank (currently Sumitomo Mitsui Banking Corporation). In 2008, he joined Konaka Co., Ltd. Engaged in group business management, accounting, and finance. In 2019, when Konaka acquired Samantha Thavasa Japan Limited as a subsidiary, he oversaw the entire management division as Director and General Manager of the Management Control Division. He has experience in developing and operating management systems, including internal controls, through practical work in the management domain. In June 2022, he was appointed as a full-time auditor of 400F Inc.
