Notice Regarding the Acquisition of Shares of aini Co., Ltd. (Making it a Subsidiary)

Tsukui Corporation (Headquarters: Yokohama City, Kanagawa Prefecture; Representative Director and President: Takeshi Takabatake; hereinafter "the Company") announces that it has acquired shares of aini Co., Ltd. (Headquarters: Miyazaki City, Miyazaki Prefecture; Representative Director: Toru Kakiuchi; hereinafter "aini") as of April 1, 2026, making it a wholly-owned subsidiary.

❚ Purpose of Share Acquisition
Established in November 2019, aini commenced its home-visit nursing business in March 2020. It provides highly specialized home-visit nursing to customers with diverse needs, including those in palliative care, children, and individuals requiring mental health support. In particular, for peritoneal dialysis patients, whose cases are increasing in Miyazaki Prefecture, aini is actively working to improve the quality of regional medical care by providing support for home life and strengthening cooperation with nearby home-visit nursing stations. Furthermore, in January 2026, aini launched its in-home care support business, and by strengthening collaboration with the home-visit nursing business, it is building a more integrated and seamless home support system.
Through this acquisition, the Company will maximize aini's strengths and further expand its services towards realizing its mission: "Facing the challenges of a super-aging society and creating an era where people live happily for 100 years."
