CommerceX Holdings Co., Ltd. (Headquarters: Suita City, Osaka; Representative Director: Shuhei Sato; hereinafter "CommerceX HD"), which has a mission to "create new commerce standards," announces the appointment of Hiroki Saito as Executive Officer (M&A).

In conjunction with this appointment, Mr. Saito is scheduled to establish a new company, "CommerceX M&A Inc.," in May 2026 and assume the role of its representative. The CommerceX Group will newly launch an M&A support business specialized in the commerce sector, further accelerating the execution of its group M&A roll-up strategy.

■ Background of Appointment

CommerceX HD, with its mission to "create new commerce standards," is pursuing a growth strategy centered on M&A of operating companies and the creation of group synergies in the retail, reuse, e-commerce, and commerce DX domains.

Utilizing its own funds and equity, it has accumulated achievements such as:

9 M&A deals
Providing the cloud core system "RECORE" to over 500 companies
Over 1,000 companies supported in e-commerce and Amazon by its group company "Sobani Inc."

In the upcoming growth phase, the following will become even more important:

Strengthening M&A sourcing and execution capabilities specialized in the commerce sector
Internalizing M&A support functions that create valuable deals for both sellers and buyers
Building an industry-wide M&A platform to support group M&A roll-up

In this context, CommerceX HD has decided to welcome Hiroki Saito as Executive Officer (M&A). Mr. Saito has experience in starting an import general agency business, over 10 years of company management in the commerce sector, operating a community business, and real-world experience as an M&A (transfer owner), as well as a track record of M&A support at Japan M&A Center.

Mr. Saito will simultaneously launch "CommerceX M&A Inc.," a new group subsidiary responsible for M&A support specialized in the commerce sector, and lead the business as its representative.

■ Profile of Hiroki Saito

Hiroki Saito, Executive Officer, CommerceX Holdings Co., Ltd.
Born in Akita Prefecture in 1990. After the bankruptcy of the semiconductor manufacturing company he joined after graduating, he started an import general agency business. After growing it to a monthly turnover of 10 million yen, he experienced a setback with an Amazon account suspension.

From 2015 onwards, he focused on the general agency business, acquiring exclusive rights for 30 brands. He presided over "PIU," a community for commerce businesses, with 60 participating companies, and crowdfunding within the community generated over 100 projects and over 1.5 billion yen in circulation.

In 2020, he launched a YouTube channel and gained 8,000 subscribers in the first year, and transferred his self-launched PuttOUT business to the CommerceX Group. This was his first encounter with Shuhei Sato.

In 2023, to address the fundamental challenges and potential of the M&A industry based on his own selling experience, he joined Japan M&A Center. He gained experience in entrusted projects and deals, mainly in the commerce sector. Driven by the desire to "grow the commerce sector through M&A," he decided to join the CommerceX Group after reuniting with Shuhei Sato.

In May 2026, he will establish "CommerceX M&A Inc.," a new company responsible for the M&A functions of the CommerceX Group, and assume the role of its representative. Simultaneously, as Executive Officer (M&A) of CommerceX Holdings Co., Ltd., he will oversee the planning and execution of the group's overall M&A strategy.

■ Comment on Appointment as Executive Officer

"I am honored to be appointed as Executive Officer (M&A) of CommerceX Holdings Co., Ltd. and to establish a new company, CommerceX M&A Inc., and lead its business as its representative.

Throughout my career, I have experienced both starting an import general agency business, setbacks, operating a commerce business community, transferring my own business to the CommerceX Group, and M&A support at Japan M&A Center. I have experienced both sides of the commerce industry M&A from all perspectives: seller, buyer, and supporter.

What I have strongly felt throughout this is that a mechanism for M&A support specialized in the commerce sector, where businesses are 'properly valued and properly handed over to the next owner,' is not sufficiently developed and has further potential for development.

CommerceX M&A aims to achieve the following by specializing in the commerce sector:

Properly handing over the value of nurtured brands to the next owner
Creating opportunities for acquiring companies to make significant leaps after the transfer
Creating a new future for the commerce industry through M&A

We aim to be a partner company that realizes these goals."
