(Central News Agency reporter Pan Chih-yi, Taipei, 13th) Century Life Technology, a subsidiary of Shining Group, today announced that it will jointly launch a public tender offer for Tianliang Biotechnology with Nebula Computer. This joint public tender offer is expected to acquire 17,298,000 common shares of Tianliang Biotech, accounting for approximately 37.8% of its total issued shares, at a tender offer price of NT$32.71 per share, for a total acquisition amount of approximately NT$565,817,580.

Century Life Technology explained that the tender offer period for Tianliang Biotech will be from May 15, 2026, to June 30, 2026. The entire case will be handled in accordance with relevant laws and regulations such as the "Business Mergers and Acquisitions Act" and the "Regulations Governing Public Tender Offers for Securities of Public Companies," and will be reported and announced to the competent authorities in accordance with the law to ensure transparent information disclosure and fully protect investors' rights.

Century Life Technology pointed out that as Taiwan officially enters an aging society, the demand from the senior population for health foods, daily health management, and anti-aging related products continues to rise. The grand health industry has become a key strategic market with long-term growth potential. Century Life Technology has actively deployed in health products, e-commerce channels, and smart application fields in recent years. This joint acquisition of Tianliang Biotech with Nebula Computer will become a core node connecting products, channels, and the end consumer market, completing a key piece of the group's "AI Smart Grand Health Ecosystem."

In addition, Shining Group will simultaneously layout preventive medical businesses through strategic investments, guiding research and development towards higher value-added product areas, achieving the synergy of technological upgrading and industrial transformation.

Furthermore, after the acquisition is completed, the three parties will integrate three core assets: "AI Smart Grand Health, global brand channels, and an independent media ecosystem for health foods."

Tianliang Biotech has a complete product line, is certified by the Ministry of Health and Welfare's GDP, and has a deep physical channel foundation with close cooperation with over 3,000 pharmacies across Taiwan. Century Life Technology and Nebula Computer will cooperate to promote its operational upgrade, accelerate the launch of high value-added new products, introduce Century Life Technology's Chaowei Biomedical's exosome patent Eob686 and "AI Nutritionist" service, and promote them to the middle-aged and elderly health care population through Tianliang's physical channel network.
