Taipei, April 28 (CNA) — Sysgration introduced Pegatron as a strategic investor in February this year, making it the company's largest single shareholder. At today's annual general meeting and board reelection, Pegatron successfully secured two seats, with Co-CEO Johnson Cheng serving as a director and former Chief Investment Officer Sophia Su as an independent director.

Sysgration reported 2025 revenue of NT$3.393 billion, a 9.1% year-on-year increase and the second-highest in its history. Net income attributable to the parent company was NT$52.93 million, a 54.3% decline from 2024, with earnings per share (EPS) of NT$0.27. The meeting approved a cash dividend of NT$0.2 per share and a distribution from capital surplus of NT$0.3, totaling NT$0.5 per share.

Sysgration has been active in expansion over the past year. In April 2025, the board approved a strategic alliance with Dyaco International, a renowned global fitness equipment manufacturer. Through open market transactions, they cross-held NT$50 million worth of shares, starting a first phase of cooperation combining expertise in technology, R&D, and channels to expand the e-bike market.

In May 2025, Sysgration signed an MOU for a strategic alliance with battery module giant Chicony Power (加百裕) to jointly explore markets including consumer electronics, power tools, energy storage, server backup batteries, and e-bikes. Sysgration Chairman Li Yi-jen also serves as Vice Chairman of Chicony Power.

In February this year, Sysgration introduced Pegatron through a private placement. Pegatron spent NT$1.21 billion to subscribe to 22,000 shares, a 9.55% stake, becoming the largest single shareholder.

In today's board reelection, a total of 7 seats were filled, including 3 independent directors. Pegatron obtained one director and one independent director seat. Sysgration's management, including Chairman Li Yi-jen, GM Hsieh Tung-fu, and VP Li Cheng-han, secured 3 seats.

The other two new independent directors are former Minister of Justice Chiu Tai-san and Chen Ling-hsuan, presiding lawyer of Taipei Junlun Law Firm.
